I have examined the financial statements of Shorewood for the year ended
December 31, 1987, and have issued my report thereon dated May 18, 1988.
In conjunction with such examination, I reviewed and tested the City's system
of internal control to the extent I considered necessary to evaluate the system
as required by generally accepted auditing - standards. Under these
standards, the purpose of such evaluation is to establish a basis for reliance
thereon in determining the nature, timing and extent of other auditing
procedures that are necessary for expressing an opinion on the financial
statements and to assist in planning and performing my examination of the
financial statements.
My study and evaluation disclosed the following comments that I believe
should be considered for action by the City where practicable. In addition, in
connection with my examination, I observed certain other business conditions I
believe should be brought to your attention. Following are my comments on
these matters.

FUND BALANCE / \
The General Fund balance equals approximately G.Y months of
expenditures. Because the City receives 75% of its revenue'-m the last 7
months of the year it is important to maintain a fund balance at this level. In
a?-dition with the pressure on local property taxes, state aids and the
proposed restructuring of the tax system it is important that you maintain a
healthy fund balance. With the Fund Balance at this level the Cit~--RO~
the flexibility it needs for long term planning. I recommend a ?~year R.!~<
The plan should include, goals and objectives for this period, the resources 1
needed to obtain these objectives and how these resources will be obtained.. ,I.-L- ~L.
ASSESSMENT FUNDS j)f?r-- ~~~4F-Ji..) g;;-~fV
In 1987 there was a change in how the special assessment funds were
reported in the audit. In prior years we had a special group of funds called
special assessments. For 87 we split the construction part of the assessment
fund from the debt service portion of the fund. So the construction portion
of the assessment fund is now reported as a capital project fund and the debt
service portion is reported as a debt service fund. As a result of this
change the construction reporting is much cleaner, in that all costs of
construction are included in one fund. At the end of the project the balance
remaining in this fund is transferred to the debt service fund. The reporting
for the debt service is not as clean. Only assets available to pay the debt is
reported. Assessments levied and receivable, and bonds payable are not
reported on the statements. So the statements do not reflect the funds ability
to eventually payoff the bonds. To determine the status of the bond funds
see the information below.

Per the above schedule your bond funds are in good financial condition.
Assets available which includes cash and investments and assessments
receivable are sl.\fficient to payoff the bonds.
ENTERPRISE FUNDS - WATER AND SEWER
These funds are in better financial condition in 87 then prior years. With the
new construction in Shorewood and your rate adjustment in 1988 the funds
should do well in 1988. I encourage you to monitor these funds quarterly to
insure revenues and expenses are as projected.
LIQUOR FUND
Sales for the Liquor Stores are up 6% from 1986 and expenses are up 6.4%.
Profits are up almost $11,000 from 1986. The increase in profits can be
attributed to the increase in the gross profit margin. In effect the selling
price is up in relation to the cost of the product. In 1988 expenses will
continue to go up and because of competition I would expect little change in
your gross profit. As a result 88 profits will depend on the liquor stores
ability to increase sales. I recommend projections of sales and expenses by
month. Then compare actual to projections. This gives you the ability to
identify trends and take action before year-end.
PUBLIC RECORDS
Most Documents of the City are open to public inspection during normal
business hours. And a willingness to share information with the public
should be encouraged. However it is also extremely important that the public
records be safeguarded from being lost, misplaced, stolen or misused. The
employees of the City are given the charge to safeguard these records. If
important City records are misplaced or misused the responsible person should
be held accountable. For this reason a City policy should be developed for
the safeguarding and release of public information. The policies should at a
minimum address the following.
1. Specify responsible person for the collection, use and dissemination of
governmental data.
2. Identify private records and records with limited employee access. This
type of record would include litigations, personnel and payroll records.
3. Define who should have and when they should have
governmental data.

PERSONNEL POLICIES
Currently the City treats Liquor Store and other City non-union
employees differently in accruing vacation time, number of legal holidays, and
funeral leave. I recommend that all non-union City employees be covered
under the same personnel policy.
PAYROLL
The payroll and personnel management policies should be reviewed and
corrective action taken where necessary. Specifically the following areas
should be reviewed.

Time cards of exempt employees do not reflect actual hours worked. Accurate

Hours worked by non-exempt employees are not consistent. Starting time,
lunch periods if taken, quitting time and even hours worked per week varies
considerably. The inconsistency in work time makes it difficult to work. with .J /'

initialed by the employee's supervisor. Overtime should not be paid and
comp-time not earned unless the supervisor approves the extra time in
advance.

~\i The State Comparable Worth law requires the City to adopt a job evaluation
~/~~ >> system. The purpose of the system is to establish equitable compensation
,y~\\-l( 7> relationships between classes of employees. The law requires the City to meet
~ and confer with employees and then implement the system by August of 87.

Employees are required to sign a declaration in substantially the following
form before receiving their pay check. "1 declare under the penalties of
per jury that I have received the wages stated on this payroll opposite my
name and have done the work for which the wages were paid."
Many of the items above have been previously discussed with your
administrative staff and have been reviewed with your employees. And some
of the items are currently being worked on, such as Comparable Worth. The
above items are a check list for 88. I do recommend that a backup person in
payroll always be available, that time cards reflect actual hours worked, work
hours be scheduled and complied with, overtime hours and comp time be paid
only when approved in advance, compliance with comparable worth laws, and
the employee declaration be made on the time card.

VOUCHER SYSTEM
Per state law the city is required to obtain signed declaration for the payee
before an invoice can be paid. This declaration is usually recorded on the
back of the check so when the payee endorses the check they are attesting to
the declaration. When the city obtains new checks this statement should be
printed on the check.
SEWER & WATER BILLING
The documentation for the adjustments to account information and updating of
the master file to the sewer and waster billing is not complete. Copies of the
adjustments and edit listings to the system are not maintained. These
adjustments are part of your accounting system and needs to be kept.
Without the adjustment sheets management cannot monitor the system and the
system cannot be audited. All entries made to the accounting system, and this
includes the Sewer and Water system, need to be documented and the
documentation must be kept on file.
FIXED ASSETS
The City does not have a historical record of the City's investment in land,
buildings and equipment. Since the fixed assets of the City represent a
sizeable investment proper control needs to be exercised over the assets to
prevent diversion of the assets to personal or private use and to encourage
better budgeting or use of the assets. I recommend the city establish a
system to identify and control the fixed assets with a goal of assessing costs
and expected benefits .
FILE SYSTEM
In prior audits it was recommended that City personnel should "review the
filing system of the City to improve the file maintenance of City documents".
This is still an important goal and should be addressed in 1988.
SUMMARY
The City is in relatively good financial condition. By controlling income
and expenses in the general fund you have developed a good fund reserve
that gives the City the flexibility to plan for the future. With long term
planning, anticipating and providing for the future needs of the City,
Shorewood will continue to maintain this financial position.

I have examined the financial statements of the City of Shorewood,
Minnesota, as of and for the year ended December 31, 1987, as listed in the
table of contents. My examination was made in accordance with generally
accepted auditing standards; the provisions of the Legal Compliance Audit
Guide promulgated by the Legal Compliance Task Force pursuant to Minnesota
Statutes Sec. 6.65. Accordingly included such tests of the accounting records
and such other auditing procedures as I considered necessary in the
circumstances.

As more fully described in the Notes to Financial Statements, a complete
historical record of costs for the City's investment in property, plant and
equipment does not exist, except for the Liquor Fund, because acquisitions
prior to January 1978 have not been recorded. This is a departure from
generally accepted accounting principles. Since January 1, 1978, the City has
recorded property, plant and equipment acquisitions in the Sanitary Sewer
and Water Operating Funds and the General Fixed Asset Group of accounts and
well as the Liquor Fund, and has made provisions for depreciation, which
conforms to generally accepted accounting principles applicable to
governmental units.

In my opinion, except for the omission noted in the preceding paragraph,
the general purpose financial statements referred to above present fairly the
financial position of the City of Shorewood, MN at December 31, 1987, and the
results of its operations and the changes in financial position of the
proprietary fund types for the year then ended, in conformity with generally
accepted accounting principles applied on a basis consistent with that of the
preceding year after giving retroactive effect to the change, with which I
concur, in accounting for special assessments as described in note 4 to the
financial statements.

My examination was made for the purpose of forming an OpInIOn on the
combined financial statements taken as a whole. The combining, individual
furid, and account group financial statements and schedules listed in the table
of contents are presented for purposes of additional analysis and are not a
required part of the combined financial statements of the City of Shorewood,
MN. The information has been subjected to the auditing procedures applied in
the examination of the combined financial statements and, in my opinion, is
fairly stated in all material respects in relation to the combined statements
taken as a whole.

in Exhibit A, attached hereto and made a part hereof, which lands are
hereinafter referred to as the "Subj ect Property"; and
\\HEREAS, the City Cotmcil by its Resolution No. , passed on
May 24, 1988, has granted certain ChOOi tional Use Permi ts and Variances
for the redevelopnent of the Subject Property; and
NmREAS, such ChOOitional Use Permits and Variances were granted,
subject to certain terms and conditions, which terms and conditions are
contained herein.

done and materials and supplies furnished for the performance of this
Agreement, and that the Developer shall fully cooply wi th all of the other
tenns and provisions of this Developnent Agreement, the Developer agrees to
furnish to the City either a cash deposit or an irrevocable letter of credit
approved by the City in an 8IIlOWlt equal to 150% of the total cost of said
inprovement5 as set forth in the contracts between the Developer and his
contractors~._~aid deposit or letter of credit shall remain in effect for a
period of ~ng seasons following the cmpletion of the required
inprovement. '!he said deposit or letter of credit may be reduced in its
amoWlt or replaced by a maintenance bond at the discretion of the Ci ty upon
acceptance by the Ci ty of the inprovements.
5. BIIJ.B:WmS (If SITE. '!he site is currently occupied by two
billboard signs, one free-standing and the other IOOUIlted on a building, which
signs exist as nonconforming uses on the property. Said billboard signs are
the property of ~le Outdoor Advertising O:xIpany, Inc., and are occupying
the si te pursuant to the temB of individual si te leases between Naegele and
Developer's predecessors-ln"'interest. Developer agrees to rennve the
bi llboard sign IOOUIlted on the bui Iding fran the property at the time the
building is razed or wi thin one year fran the date hereof, whichever date
first occurs. City agrees to permit the free-standing billboard to be
refurbished and relocated to the easterly portion of the property, providing
that the billboard shall not be enlarged or enbellished in any manner, and
providing that the sign shall be rennved altogether upon cmpletion of the
existing lease period. Developer agrees that it wi 11 cause such sign to be
rennved at no expense to the Ci ty upon the coopletion of the existing lease
period, and that any subsequent lease Developer may enter into with Naegele
wi 11 not extend the lease period terminat ion date beyond the date speci tied
in the existing lease. Developer further agrees to provide the City with a
copy of the, existing lease with Naegele, and su1:mit for approval by the City
any future leases that Developer may enter into wi th Naegele for the location
or relocation of said billboard on the Subject Property.
6. <DlN1RY CIlB IO\D RI<Hr--oF-WAY. '!he site of the developnent
is bolmded by Q>Wlty-Highway No. 19 on the north and Q>untry Club Road on the
west. '!he publ ic right-of-way for Q>Wltry Club Road is present Iy inadequate.
in width (33 feet) to provide for adequate maintenance and care of the
travelled roadway. Developer agreelUt?- convey to the City a perpetual

Shall restore all City streets and other public facilities disturbed or
danaged as a result of Developer's construction activi ties, including sod
wi th necessary black dirt, bi tuninous replacement, curb replacement, and all
other items disturbed during construction.
1- >>. PJIDF OF TITLE. The Developer shall furnish the City with
updated Title opinions evidencing title to the Subject Property.
ID'-I': HBADINE. Headings at the begirming of paragraphs hereof
are for convenience of reference, and shall not be considered a part of the
text of this Agreement, and shall not influence its construction.
.t. ~ SEVERABILI'lY. In the event any provisions of this Agreement
Shall be held invalid, illegal, or \Dlenforceable by any court of cmpetent
jurisdiction, such holding shall not invalidate or render \Dlenforceable any
other provision hereof, and the remaining provisions shall not in any way be
affected or inpaired thereby.

notices, certificates or other communications to them shall be sent When
