CALL TO ORDER
The Special Meeting of the Shorewood City Council was called to order at
7:30 P.M. on Tuesday, January 27~. 1987 in the Council Chambers.

PLABBING COMMISSION INTERVIEWS

The City Council began the interview process at 7:31 P.M. to fill a vacancy
on the Planning Commission left by the resignation of Frank Reese.
The first person to interview was Mr. John Annin. Mr. Annin lives at
20885 Radisson Inn Road. Mr. Annin expressed a general interest in the
community as his reasoning for desiring appointment to the Planning
Commission. The City Councilme~bers asked Mr. Annin several questions
relative to the position. Mr. Annin felt his engineering background would

terview before' the Council. Ms. RQbertson expressed an overall interest in

applicant also asked questions regarding the position. Ms. Robertson indicated
that she may use the appointment to the Planning Commission as the background
necessary to run for a Council position in the future. The interview ended at
8:30 P.M.
The last applicant to interview for the Planning Commission position was
Mr. Bob Nicol of 19375 Vine Ridge Road. Mr. Nicol indicated that he has
participated in Governmental Operations in other cities that he has lived in.
He stated that he would like to continue this participation in Shorewood. The
Council asked the applicant several questions relative to the position. Mr. Nicol
was able to ask the Council questions regarding the appointment. The interview
ended at 9:05 P.M.
Additional discussion relative to the Planning Commission appointment took
place later in the meeting.
ADMINISTRATORS REPORT
I
Wedgewood Drive
Administrator Vogt reported that Mr. Jim Dutcher, owner of the property
along Wedgewood Drive east of Mallard Lane, has called to inquire as to
who would be repairing Wedgewood Drive during the upcoming construction
season. A previous agreement with Mr. Dutcher which stated that he would
perform and pay for the work with the City repaying Mr. Dutcher for the cost
of the work if it held up for a set period of time was discussed. Mr. Dutcher
feels that this agreement is no longer valid and that the agreement was never
signed. After short discussion, the Council directed Administrator Vogt to
contact Mr. Dutcher and state that the City will place this roadway on the list
of 1987 roadways to be repaired. The method of repair is initially scheduled
for patching and sealcoating.

Bache Issue
A letter was received by the City from the Hennepin County Attorney
regarding the Bache (Lloyd and Lenora) matter which has been going on
for the past several years. The County Attorney could see no reason to'
prosecute anyone in this matter. Administrator Vogt indicated that the
letter directs the Bache's to bring the issue up with the municipality
if further action is desired. Since the City has looked into this matter
with several Att9rneys and a municipal court judge, the Council indicated
that they would welcome Mr. and Mrs. Bache to a Council Meeting contingent
upon them bringing new information regarding this matter.
1986 Wage Rates
Administrator Vogt indicated that Auditor Maiser needs action by the City
Council approving the wage rates paid to City employees for 1986. Administrator
Vogt went over the rates paid to each employee as of December 31, 1986. General
discussion of wage rates paid to City employees and method of setting such
rates took place. A compilation of the rates is attached to these minutes and
made a part hereof. qtover moved, seconded by Gagne, to approve the 1986

been formally acted upon by the Council. Vogt indicated 'that he is .of the
understanding that it is the intent of the City to get new employees near the
Stanton midpoint in 3 to 5 years pending satisfactory job performance. The
Council agreed with the Administrator's understanding. Rescop moved, seconded
by Gagne, to formally enact the policy relative to the Stanton Midpoint in
3 to 5 years as indicated above. Motion carried - 5 ayes.
Administrator Vogt then reviewed the proposed employee wage rates for 1987. Vogt
indicated that he is using a pay range for raises between 3 and 4.5%. This was
formulated by using the wage rate paid on 12/31/86 times 4%. This is then the
total amount of dollars which are to be distributed to the employees. The City
Council agreed with this general way of establishing rates for employee wages.
Formal adoption of the 1987 rates will come back before the Council prior to
year end. However, general agreement with the 1987 rates as presented was
indicated.
Relative to 1987 wage rates, Administrator Vogt indicated that City Clerk
Kenqelly was not in agreement with the amount of rate increase being proposed.
It was stated that Ms. Kennelly has met with the Administrator, with Staff
Liaison Stover and the Administrator, and now wishes to meet with the Council.
The Council discussed the wage rate being paid and that being proposed.
Discussion also took place relative to the position itself. The Council
expregsed support for the way in which this matter has been handled to date
and offered an invitation for Clerk Kennelly to appear before the Council to
discuss this matter further.

PLABRIRG COMHISSIOR APPOINTMENT
Mayor Rascop initiated discussion regarding the Planning Commission appointment.
In an effort to continue to appoint based upon geographic residential location
of each Commissioner, Mr. John Annin was dropped from consideration due to the
fact that he lives near Christmas Lake and that there is already a Commissioner
from this area.
Gagne moved to appoint Mr. Bob Nicol to a 3-year term on the Planning Commission.
Stover seconded for discussion. Gagne indicated that prior experience and back-
ground of Mr. Nicol which will be necessary for the future growth of Shorewood
is the basis for making this motion. Although other members of the Council
agreed that he does have prior experience, concern was expressed with a statement
that Mr. Nicol made during his interview. During the interview, Mr. Nicol stated
that if the Council went against a recommendation of the Planning Commission, he
would be inclined to debate the Council as to why the recommendation was not agreed
to by the Council. Several Councilmembers feared that his might not be in the
best interests of the City for this to occur at a Council meeting. The Council
then proceeded to discuss the interview which took place with Betsy Robertson.

Gagne moved, seconded by Haugen, 'to approve the Council Minutes
of January 26, 1987 with amendments to the Ferncroft Drive street
vacation request. Motion carried - 4 ayes.

MATTERS FROM THE FLOOR
Complaint on Mill Street Speed Siqnaqe
Jim Harrington of Chanhassen was present to complain about ,the
variation of speed limits along Mill Street from Excelsior to
Chanhassen. He would like to see the speed raised .t035 ~1. P.H.
He has contacted BUp. Robb's office regarding this 'complaint. He
also felt> the police department had more important things to do
rather than 'patrol for speeders or violators of thendturnonto
Chr i s'tmasLane .
Rascop"moved, seconded by Gagne, to direct a letter to the state
to study the Speed limits ~n Miil Street.- Motion carried - 4 ayes.
Presentation - Park Board Retirement - Conrad Schmid
Mayor Rascop presented a plaque to Conrad Schmid in appreciation
for his 10 years of service on the Park Commission. Mr. Schmid
thanked the Council for having the opportunity to work with many
enjoyable and interesting people.
PARK COMMISSION REPORT
Commissioner Lindstrom revie\ved the past Commission's meeting
they discussed the City Hall/Badger Park plan. The only area
of concern was the proposed moving of the hockey rink thus
causing the free skating rink to become smaller. The Park
Commission requested authorization to hire a bulldozer to widen
and add additional trails at Freeman Park and to smooth out the
existing berm. They want the developer of Shorewood Oaks to re-
store with plantings the area excavated for their drainage ditch.
Also if additional drainage ditch has to be installed, they would
like the path to curve. Engineer Mittlesteadt stated that the
drainage pipe has to be installed in a straight line but he felt
that landscaping and shrubs could be installed to restore the area.

PARK COMMISSION REPORT - cont.
The Engineer and Developer Johnson will attend the Park Commission
Meeting of February 18, at the Commission's request to discuss
the restoration.
They then questioned whether the Commission could get a walking
path, ko look out sites, or a dock for sight seeing on the Near
Mountain site. Near Mountain has reduced their proposed buildable
units, reducing their park fund donation by $15,000.00 The Com-
mission would like the Council to negotiate additional benefits
with the plat approval.
Brancel moved, seconded by Gagne,

MANITOU PROPERTIES - C.U.P. FOR SELF-STORAGE FACILITY
The information regarding the American Legion's drainage permission
and the market information have not been received to date.
Haugen moved, seconded by Brancel, to table this issue until the
February 23 Council Meeting to obtain requested information. Motion
carried - 4 ayes.
Guy Streater, representing the American Legion, submitted new
drainage plans that would eliminate some parking spaces and increase
their proposed retention pond by 5100 cubic feet. Staff discussed
various alternatives to issue the necessary permits to proceed
without the drainage permission from the "down stream" property
'owner. Attorney Froberg referred to an agreement that would save
and hold the City harmles~.RaScop ~equested to ~eethis agreement
in writing prior to. proceeding.
HOUSE MOVING PERMIT C' :')'
Planner Nielsen received a letter from the police pepartmen;t regarding;
escort service and recommended time to transport. He ," has also re-
ceived written p~rmission from the adjacent prop~rty owners.to move
the mobile home over their property. Information requested by the
Engineer was just received. Engineer Mittlesteadt felt there would
be no problems that couldn't be compensated for. The moving would
take place between 1:00 A.M. and 5:00 *.M. Nielsen recommended that,
the house be moved from the highway after 9: 00 A.M. as to not cause
problems for the neighbors.
Gagne moved, seconded by Brancel, to approve the moving permit.
Motion carried - 4 ayes.
C.U.P. AND VARIANCE - 26990 EDGEWOOD ROAD
Mr. William Henney was present to request a C.U.P. and variance
to build on an existing parcel 50' by 219'. This lot will need a
side variance and a C.U.P. due to sub standard size in order to
build upon it. He feels this request is the only good use of the
property. He stated the need for variances and the sub standard
lot size was created by changes in the Ordinance since its original
purchase in 1956 by three (3) property owners across the road from
this lot. This was charged a sewer unit, and there are similar
sized lots with homes on them in this area, only half of the lots
meet the R-IA square foot requirement.

Mr. Kantor, Attorney representing Mr. David Garber of 26980 Edgewood
Road, feels the variances should not be granted. He feels the
variances for setbacks and square footage are much too great and
may be setting a precedent for further divisions. He also feels
the existing recreational use, is a good use for this property.
Ron Of stead, representing the Of stead estate, stated that the lot
was originally purchased as a buildable lot and was reconfirmed
buildable at the time of the 1973 sewer assessment by the ~harging
of a unit for sanitary sewer. He stated that he requested and re-
ceived a letter from the City in 1973 stating that this1lot was
buildable and was worthless unless it could be sold as a buildable
lot.
Haugen asked Attorney Froberg to review his January 6, 1987 response
on the cities legal responsibility on "reasonable use of land".
Froberg reviewed his letter citing basis for court determinations,
present similar uses, City rules requiring C.D.P. and variances,
and effects from use.
Rascop stated the Planning Commission had a 2-2 vote regarding their
recommendation. Heiien informed Mr. Henney th~t the C.D.P. and
Variance require a 4 5 vote, 1 Councilmember was absent. Mr. Henney
requested that theote be taken while a full Council was present.
Haugen moved, seconded by Brancel, to postpone action until
February 23, 1987 for a full Council. Motion carried - 4 ayes.

SIMPLE SUBDIVISION RESOLUTION -

Joe Gorecki and Mr. and Mrs. Carlson were present to request a
C.D.P. and Simple Subdivision to operate the Carlson Clipper Corp.
at 6140 Lake Linden Drive. Nielsen has requested, along with his
9 recommendations dated January 31, 1987, to have an architectural
engineer incorporate Mr. Carlson's mechanical Engineer's report into
the architectural drawings. Mr. Carlson did not see the need for
an architectural engineer to prepare a report or drawing on a building
with no structural changes. Nielsen indicated that the building was
near condemnation and he felt without an architectural engineer
signing off on the plans, he could not issue a building permit.
Engineer Mittlesteadt felt a structural engineer could also qualify.
Mr. Carlson agreed that he would obtain an architectural or struc-
tural engineer's report. Title opinion will also have to be submit-
ted to Attorney Froberg for review.

Gagne moved, seconded by Brancel, to grant a C.D.P. subject to the
Planner's 9 recommendations dated 1/30/87 and to incorporate mechanical
engineer comments into building plans to be signed off by an architec-
tural or structural engineer. Motion carried by Roll Call Vote -
4 ayes.
Simple Subdivision
Gagne movedr seconded by Haugen, to approve the simple stbdivision
as requested. This subdivision was previously approved but never
filed. Motion carried - 4 ayes by Roll Call Vote.
PRELIMINARY PLAT APPROVAL - SHOREWOOD OAKS
RESOLUTION NO. 13-87
Nielsen stated that this subdivision had been submitted and had
received all approval previously down to this final signing of the
plat when the developer became seriously ill and the approvals
expired. The Planning Commission approved the 73 lots subdivision
unanimously. The Park Commission will be meeting with Mr. Johnson
and the City Engineer to discuss the restoration of the drainage
ditch into Freeman Park.
Marion Johnston of Strawberry Lane questioned what effect this
Project will have on the existing drainage problem in the area.

Haugen-moved, seconded by Gagne,to adopt a Resolution aQC'ilt't~u9 the
feasibility report prepared by Orr-Schelen-Mayeron & Assoc. for
Shorewood Oaks Development Project. Motion carried by Roll Call
Vote - 4 ayes.
NEAR MOUNTAIN P.U.D. - REVISED PRELIMINARY PLAN
Peter Pflaum reviewed the history of the Near Mountain Project and
the progress of the project in Chanhassen and Shorewood. The project
has changed due to demand and cost away from townhouse and duplex to
single family homes or small lots. He is requesting a reduction of
67 townhouses to 36 single family homes. The original cost of utility
improvements remain the same.
Rascop referred to the reduction of Park fund fees by $15,000.00 due
to the change to single family homes. Council asked for some
compensation for the Park Commission for lost park revenues. They
discussed possible overlook sites, walking paths, or dock extending
into Silver Lake. Mr. Pflaum felt that faster development of the
area would provide more desirable compensation. He agreed to discuss
this matter with the Park Commission and incorporate new plans with the
final plat, cost not to exceed the $15rOOO.00 difference in park fees.

NEAR MOUNTAIN P.U.D - REVISED PRELIMINARY PLAN - cont.
Gagne moved, seconded by Haugen, to approve the preliminary plat
revision of Chestnut Ridge 4 Addition. Motion carried - 4 ayes by
Roll Call Vote.
CITY HALL/BADGER PARK IMPROVEMENT PLAN
The Planning Commission reviewed the proposal for the City Hall/
Badger Park area prepared by Planner Nielsen. They recommended
denial of the C.D.P. and to hire a professional architect to prepare
a needs assessment.
Haugen moved to table the C.D.P. until a full Council is1present.
Motion denied for lack of second.

Rascop moved, seconded by Brancel, to deny the request for the
C.D.P. Motion carried - 3 ayes to 1 nay ~~
Jack Brancel felt that there was a need for an over all plan, done
by someone independent of the City.
Gagne moved, seconded by Haugen, to recommend that a request for
proposal be drafted for an office space needs assessment. Motion
carried - 4 ayes.
The disposition of the house purchased will be on the next agenda.
ATTORNEYS REPORT
S.E. Area Water Tower Site

Miami Tan Request
Mr. Richard Steine has requested permission to employ a masseuse
at his Miami Tan shop in the Shorewood Shopping Center. Nielsen
felt that this request would need an amendment to the Zoning
Ordinance. The use is not listed in the Ordinance and the Ordinance
states that if not listed, it is not a permissable use. Mr. Steine
feels the masseuse should qualify under a "similar use". Haugen
directed Nielsen to see how other cities license or what qualifica-
tion this falls under. Nielsen will report back to the Council
on February 23, 1987.
MAYORS REPORT
Meetinqs to Attend
Mayors Meeting - to be held at Lafayette Country Club on February
11, 1987, and at the City of Mound on March 3, 1987.
Taxes for Waterford will be discussed with Mason and Steiner and the
assessor on February 10, 1987.
LMCD Lake Lovers Dinner will be held at Lord Fletchers on February
12, 1987.

Haugen stated that the AMM Revenue Committee will be discussing
fiscal disparities. Council wants to obtain the minutes of
that meeting. Council supports the current method of dispursement
of funds to the cities.
Gagne would like a well pipe 'and truck complaint checked out on
Lake Linden Drive.
Haugen asked to have the Planning Commission review the use of
Commercial signage regarding advertising business other than the
operation at the business site. ·

FINANCIAL ADVISORY BOARD
Charter
Section I. Purpose and Membership
The Financial Advisory Board is a small group of Shorewood citizens
consisting of not more than five nor less than three members selec-
ted at-large with broad financial and business backgrounds. The
members shall be appointed for one-year terms by the City Council
to provide advice and counsel from a financial perspective to the
city government on issues with significant financial impact. Also,
the City Council shall annually appoint one Council member to the
Board to act as Liaison.

recommendations it may have ,to the .City ,Administ,rator and the City
Council inthe.budge:t-::deve,lopmentand'finalizatiori process.
Additionally, the Financial Advisory Board will provide advice and
counsel to the city government as requested on issues arising through-
out the year which have significant financial impact (greater than
$5,000) on the City and for which there may be various alternative
approaches which can be considered and evaluated. Board members are
also encouraged to maintain familiarity with major financial issues
facing the City and offer input where they feel it might be helpful.
The Financial Advisory Board will meet as needed to deal with speci-
fic issues, and will be kept informed as to areas needing its atten-
tion by the City Council member appointed as liaison to the Board.
The Board will elect a chairperson who will be responsible for calling
Board meetings and maintaining regular contact with the Council
through the Council liaison.
Board members will receive minutes and agendas of City Council
meetings, copies of the monthly financial reports provided to the
Council, drafts of the annual budget as it is being prepared and
finalized, copies of the Annual Audit Report and any other relevant
information needed to render sound judgements and informed recommendations.

communities relative to massage services. All of the nine cities contacted
to date require special approval of some sort for this kind of activity~;
In some cases the approvals are related to zoning. (i. e. conditional use

Thepool,and requ.ir:ed fencing, shown on Exhib,it:<, B,comply .with setback
and height requirements of the Shorewood Zoning Ordinance~-Theplan also
proposes some additional 'improvements on the east side of the house. While
there is insufficient det'ail to comment o~ these improvements, it should be
noted that allowable encroachments in side yards can only extend 4.5 feet
into the side yard. What appear to be steps and a walkway 5.5 feet into
the easterly side yard.
Approval of the permit should be limited to the swimming pool and fence
enclosure until more detailed plans of other improvements have been submitted.

RE: Recommendations for the Issuance of $875,000 General Obligation
Improvement Refunding Bonds, Series 1987 A
We respectfully request your consideration of our recommendations for the
issuance of these refunding bonds. The proceeds of the issue, together with
available funds on hand, will be used to refund the outstanding principal of the
City's $1,250,000 General Obi igation Improvement Bonds, Series 1984A. Those
bonds are currently outstanding at a net effective rate of 9.49%. Current
market conditions have improved substantially since the original issue was sold
and with t~e low interest rates, it is our opinion, the City caR refinance this ,.
issue and save approximately $246,951 in interest expense.
Our calculations indicate the City can refinance the bonds, under today's
market conditions, at a netin'teresf -rafe of approximately 6.10%. As noted
previously, this will result in a savings to the City of apprpximately $247,000.
The present value of that savings, discounted at an interest rate of 5.78%, is
$37,000. The present value 'takes into account the timing of when the savings
actually accrues to the City and any opportunity loss on moneys provided to
accomplish the refunding.
Exhibit I to these recommendations is a brief discussion of the process of
advance refundings. Simply stated, the bond proceeds from the new issue will
be placed into an escrow account to be maintained by a trust department of a
major bank. That escrow account will be invested in government securities
which will mature with their earnings in amounts and in time sufficient to pay
the debt service payments on the existing bonds until the call date. At the
first call date, the issue will be called for final payment.
The City has also received a substantial amount of prepayments on the special
assessments which can be used to reduce the amount of bonds issued for the
refunding. Federal arbitrage regulations require that the City use those
prepayments to reduce the bond size for the new issue, thus avoiding an over-
issuance and violation of the regulations. Through the use of the prepayments,
the refunding issue can be reduced from a level of outstanding debt of
$1,170,000 to a level of $875,000. An additional benefit to the City is that
outstanding bonds have a rate over 9.0% and prepayments can be invested at

rates only around the 6.0% level, thereby creating a negative arbitrage
situation. The City assessed all of the costs against the benefited properties
and therefore diej not certify a tax levy for any of the original 1984 issue. No
tax levy will be certified for this issue either.
Exhibit II is our projected debt service schedule for the refunding issue and
how the savings accrues to the City. Columns 3 through 6 represent the new
money issue and the escrow deposit which we discussed previously. Coliumn 7
is the existing debt if no refunding were to take place. Column 8is the
difference or annual savings the City receives because of the refunding.
Column 9 is the cumulative savings that accrues to the City, taking into
account the escrow deposit initially made. All of our calculations take into
account all costs of issuance and the underwriter's discount. Therefore, the
net savings we quote is after those costs have been subtracted.
Advance refundings are highly sensitive to changes in the bond market. There
has been a sustained period of declining interest rates which we feel may have
bottomed out now. Our quotes are based on bond issues which have sold very
recently and any adjustments in interest rates will have an effect on the final
results of the refunding. If the interest rates rise, the escrow deposit will
decline because the escrow account will be able to earn at a higher restricted
yield. While this will lower the initial escrow deposit, the total savings will
also decline somewhat. Conversely, if interest rates continue to fall, the
savings accruing to the City will increase but so will the required escrow
deposit in order to offset the lower earnings in the escrow account. In order,
to mitigate the potential changes in the escrow deposit, we recommend the
City reserve the right to increase or decrease the amount of the issue by not
more than $50,000. .
We will request a rating on your behalf from Moody's Investors Service, Inc. of
New York. We do not anticipate any change in your rating since this is a."
refunding; however, Moody's does look favorably upon refundings because they
do improve the debt obligations of the issuer. The fee for the rating has been
included in the costs of issuance in our calculations.
The Tax Reform Act of 1986 established certain arbitrage reporting and
rebate requirements for issuance of tax-exempt obligations. In essence, an
issuer must report on and rebate the amount of reinvestment income which
exceeds the income which would have been earned if the same amount had
been invested at the rate of the bonds. There are several exemptions to the
reporting and rebate requirements involving small issuers who issue less than
$5 million of government purpose bonds in any calendar year, issues of which
all proceeds are expended within six months of issuance, and for debt service
funds on which actual earnings are less than $100,000 per year.
We are of the opinion this issue will be exempt from the requirements, and you
will not have to maintain investment records and rebate any arbitrage profit
to the U.S. Treasury. Our opinion is based on our review of your reasonable
expectations at this time, and is subject to change in the event subsequent
actions by you cause the loss of exemption from the requirements.

EXHIBIT I
THE ADVANCE REFUNDING PROCESS
Advance refunding is the replacement of outstanding obligations (the "refunded bonds")
with new, lower interest rate obligations (the "refunding bonds"). The procedure is as
follows:
I. The proceeds of the refunding bonds are placed into a separate escrow
account and invested in special treasury obligations called State and Local
Government Series ("SLGS"). The overall yield of the SLGS is limited by
arbitrage regulations to a rate "not materially higher" than tre true
interest cost ("TIC") of the refunding bonds. i
The TIC rate is different, and lower than the traditional net interest cost
("NIC") rate because the calculation of TIC excludes the costs of issuance.
This is a significant change resulting from the current tax reform
legislation. TIC formerly was permitted to include both costs of issuance
and underwriter's profit, permitting partial recovery of those costs.
TIC calculation also reflects the timing of the debt service payments and
the settlement date rather than the date of the bonds. The arbitrage
regulations define "materially higher" such that the overall yield on the
SLGS may actually exceed the TIC of the refunding bonds by a small
amount. The sum of the TIC and the amount by which we may exceed the
TIC is called the yield limit. This yield limit applies only to those
obligations acquired from the proceeds of the refunding bonds, the SLGS.
2. The outstanding bonds carry an NIC which is higher than the projected
NIC on the new bonds. Since an investment at a lower rate will not repay
a like amount carrying a higher rate, an additional amount of money must
be put into the escrow account to supplement the interest rate gap. This
is part of what we refer to as "front money." In addition, the front money
includes accrued interest on the old bonds from their last interest
payment date to the date the escrow account is established and the costs
of issuance and underwriter's profit.
3. The investments in the escrow account are managed by an escrow agent
and as principal and interest on the refunded bonds become due, the
escrow agent makes the payment. The maturity of principal and interest
of the securities in the escrow account are structured so as to provide
funds to pay the debt service of the refunded bonds. Creation of the
escrow account for the refunded bonds discharges them as an obligation of
the issuer and so at that point they do not count as debt.
4. At the first date of call for the refunded bonds the escrow agent calls all
refunded bonds for payment and the bondholders receive full payment for
their obligations.
s. The refunding bonds (the new bonds) are paid from the same revenue
stream as the debt service of the refunded bonds was being paid.

6. When bids for the refunding bonds are opened SPRINGSTED Incorporated
will make computations as to:
a. The amount of savings,
b. The amount of front money,
c. The availability and price of unlimited yield securities,
d. The costs of issuance, including the underwriting profit, and
e. The permitted yield on the limited yield investments.
The amount of front money and total savings is se,nsitive to
changes in interest rates. If the rate on the refunding bonds goes
up, both the front money requirement and the level of savings is
reduced. Conversely, if the rate of the refunding bonds is I,ess the
front money and level of savings will increase.
7. F 01 lowing the sale of the refunding bonds there are several levels of
comfort that the refunded bonds can be paid from the escrow account and
that the refunding bonds have been properly issued. These levels of
comfort include:
a. SPRINGSTED Incorporated's computation of the details discussed
herein.
b.
An opinion by bond counsel that the refunding bonds comply with
all state and federal requirements.
An actuarial opinion by an experienced audit firm, certifying that
the investments in the escrow account securities, upon maturity

GENERAL OBLIGATION IMPROVEMENT REFUNDING BONJS, SERIES 1987 A
Sealed bids for the Bonds will be opened by the City on Monday, March 23, 1987, at 12:00 Noon,
Central Time, at the offices of SPRINGSTED Incorporated, 85 East Seventh Place, Suite 100, Saint
Paul, Minnesota 55101-2143. Consideration for award of the Bonds will be by the City Council at
7:00 P.M., Central Time, of the same day.
DETAILS OF THE BONDS
The Bonds will be dated April 1,1987, as the date of original issue, and will bear interest payable on
February I and August I of each year, commencing August I, 1987. Interest will be computed upon
the basis of a 360-day year of twelve 30-day months and will be rounded pursuant to rules of the
MSRB. The Bonds will be issued in the denomination of $5,000 each, or in integral multiples thereof
as requested by the Purchaser, and fully registered as to principal and interest. Principal will be
payable at the main corporate office of the Registrar and interest on each Bond will be payable by
check or draft of the Registrar mailed to the registered holder thereof at his address as it appears on
the books of the Registrar as of the 15th day of the calendar month next preceding the interest
payment.

OPTIONAL REDEMPTION
The City may elect on February I, 1994, and on any interest payment date thereafter, to prepay
Bonds due on or after February I, 1995. Redemption may be in whole or in part of the Bonds subject
to prepayment. If redemption is in part, those Bonds remaining unpaid which have the latest maturity
date will be prepaid first. If only part of the Bonds having a common maturity date are called for
prepayment the specific Bonds to be prepaid will be chosen by lot by the Registrar. All prepayments
shall be at a price of par and accrued interest.
SECURITY AND PURPOSE
The Bonds will be general obligations of the City for which the City will pledge its full faith and
credit and power to levy direct general ad valorem taxes. In addition the City will pledge special
assessments against benefited property. The proceeds will be used to refund in advance of their
stated maturity all of the City's outstanding General Obligation Improvement Bonds, Series 1984A
dated December I, 1984.
TYPE OF BID
A sealed bid for not less than $857,000 and accrued interest on the total principal amount of the
Bonds shall be filed with the undersigned prior to the time set for the opening of bids. Also prior to
the time set for bid opening, a certified or cashier's check in the amount of $8,750, payable to the
order of the City, shall have been filed with the undersigned or SPRINGSTED Incorporated, the City's
Financial Advisor. No bid will be considered for which said check has not been filed. The check of

the Purchaser will be retained by the City as liquidated damages in the event the Purchaser fails to
comply with the accepted bid. The City will deposit the check of the Purchaser, the amount of which
will be deducted at settlement. No bid shall be withdrawn after the time set for opening bids unless
the meeting of the City scheduled for consideration of the bids is adjourned, recessed, or continued to
another date without award of the Bonds having been made. Rates offered by Bidders shall be in
integral multiples of 5/ I 00 or 1/8 of I %. No rate for any maturity shall be more than I % lower than
any prior rate. Bonds of the same maturity shall bear a single rate from the date of the Bonds to the
date of maturity.
AWARD
The Bonds will be awarded to the Bidder offering the lowest dollar interest cost to be determined by
the deduction of the premium, if any, from, or the addition of any amount less than por, to, the total
dollar interest on the Bonds from their date to their final scheduled maturit;. The City's
computation of the total net dollar interest cost of each bid, in accordance with customary practice,
will be controlling.
The City will reserve the right to: (j) waive non-substantive informalities of any bid or of matters
relating to the receipt of bids and award of the Bonds, (ij) reject all bids without cause, and, OiD
reject any bid which the City determines to have failed to comply with the terms herein.
REGISTRAR
The City will name the Registrar which shall be subject to applicable SEC regulations. The City will
pay for the services of the Registrar.
CUSIP NUMBERS
If the Bonds qualify for assignment of CUSIP numbers such numbers will be printed on the Bonds, but
neither the failure to print such numbers on any Bond nor any error with respect thereto will
constitute cause for failure or refusal by the Purchaser to accept delivery of the Bonds. The CUSIP
Service Bureau charge for the assignment of CUSIP identification numbers shall be paid by the
Purchaser.

Disposition of House Next to City Hall

Disposition of House
Since the Council action on February 9 to deny the Conditional Use Permit
(C.U.P.) for expansion of the City Offices to the house adjacent to City Hall,
I have been in contact with several realtors in an attempt to, find an idea
of what the house may sell for if you decide to put it back on the market.
The information supplied by the Realtors is available in my office if you
decide to put the house back on the market. .
I give you this in'formation to aid you in the deliberation as to what you
now want to do with the property. Staff is in need of your direction in
this matter.
Expansion of City Offices
Now that it appears that the City will not be expanding office space into
the house next door, staff is concentrating on the steps necessary to expand
the current City Hall facility. It needs to be stressed that the need for
the office space expansion continues to exist. As the first step in deter-
mining the needs of office space for the City staff I have prepared a re-
quest for proposal (RFP) for an office space needs analysis. I have attached
the draft RFP for your review. If the draft is acceptable, it may then be
your determination to accept the RFP and direct that it be sent to archi-
tectural firms capable of giving the information requested. The RFP would be
returned by the firms in approximately 30 days.
At this point in the process of our expansion plans, the method of financing
such improvements should be decided upon. The 1987 budget shows a line
item which covers a principal and interest payment to cover an inter-fund
loan with the sewer fund. You may wish to refer this discussion to the
Financial Advisory Board for their review. It is our estimate that expansion
costs will be between $100,000 and $125,000.

I. BACKGROUND
The City of Shorewood is a municipal corporation which provides public
service to approximately 4,800 residents. To provide said services to
the public as efficiently and effectively as possible, City offices have
been determined to be in need of expansion.
In order to accomodate the need for additional office space, theCit:y
desires that an "office space needs analysis" be performed in order to
determine the short-term as well as long-term needs of the City offices.
It is desired that upon completion of said needs analysis, the firm
submitting this RFP is to indicate to the City the best way to fulfill
both the short-term and long term needs. It is assumed that an addition to
or remodeling of the existing City Hall facility would accomodate such
needs. If construction of new office space is found to be necessary, it
is expected that an estimated cost of the new office space will be made
a part of this proposal.
II. SCOPE OF SERVICES REQUIRED
A. Property Acquisition
Land required for the proposed facility is under the control of the
City of Shorewood.
B. Facility Needs

these needs, the proposer shall' suggest alternatives as to how to

The architect chosen for this project will be required to work
closely with City staff and City Council throughout the project.
Constant interaction and possible attendance at meetings with
the above groups will be required of the architect chosen for the
project.
D. Scope of the Project
The proposed facility will require complete architectural services for
the design of the new construction including all planning and construction.

Ill. FORMAT FOR SUBMISSION OF PROPOSALS
A. A letter of transmittal and ten (10) copies of the firm's proposal,
with information organized in the same order as requested herein is
required. .
B. Technical Response
1. Work Plan: Hust contain a description of the design process.
2. Project Management Plan: This plan should describe the wonk and
person-hours of project personnel; the relationship between prime
and subcontractors and the procedure to be used for control o~
progress, budget and quality of work. This plan must also address
the availability of the proposed project staff, ie. their schedule
for this project.
C. Qualifications of Personnel
1. Current resumes of key personnel proposed for direct involvement
in the architectural and design services.
2. Key personnel must have listed their individual prior related
projects. This list should identify the role of each person in
each prior project. Projects listed should be the same as those
shown in Item D, "Experience of the Firm".
3. Specialized public facility planning expertise: Those responden~s
who intend to utilize consultative services specializing in public
facility planning and design in the project must fully identify
this resource and include fulPqualifications of the firm and its
personnel.
D. Exp~rierice of Firm
1. Work history: For each related project, supply the following
information:
a. Name, address and phone number of client and their
representatives;
b. Brief summary of the project:
c. Project Manager and key planning/design personnel;
d. Start, projected completion date of work:
e. Projected and final cost of project.
E. Local relationships: Those respondents who do not have local offices
in the Minneapolis-St. Paul metropolitan area must identify how they
will establish local interaction to meet the needs for contact through
the completion of the project.
F. Cost analysis and compensation for the project's architectural ser-
vices should be submitted with the proposal in a separately sealed
envelope, and should include a description of reimbursables and how
they will be handled.

IV. EVALUATION OF PROPOSALS
A preliminary evaluation of proposals will be conducted by City staff.
Proposals must be specific to our specifications and facility, and stock
proposals will not be considered. Size of proposal will not be a
consideration.

City staff will reduce the number of firms to not more than three. The
selected firm~ will then be invited to an interview before the City Council.
S~lection of the successful architect will be entirely at the discretion
of the City. The contract is subject to approval of the Shorewood City
Council. The City reserves the right toreject any or all proposals; to
waive any irregularities and/or technicalities and to request reJubmission.
There is no obligation on the part of the City to award the contract to
the lowest proposer and it reserves the right to award the contract to the
lowest responsible proposer submitting a responsive proposal with a result-
ing negotiated agreement which is most advantageous and in the best inter-
ests of the City. The City Council shall be the sole judge of the proposal
and the resulting negotiated agreement that is in its best interest and its
decision shall be final.
All applicable laws and regulations of the State of Minnesota and ordinances
and regulations of any of the entities involved in this project will apply
to any resulting agreement.
This solicitation does not commit any of the entities involved to pay any
costs incurred in the preparation or presentation of proposals, including
interview time; to select any architect who responds; or to return any
proposals submitted.

As you may recall, the 1987 Public Works Budget shows an item which calls
for the purchase of several pieces of Public Works equipment. The speci-
fications are now ready and recommended to be accepted by the City Council
for advertisement for bids for two dump trucks with plows and sanders and a
back-hoe (Specifications attached). The purchase of a new pick-up is still
under consideration. It is estimated that the purchases will cost approxi-
mately $135,000. Breakdown of the costs is as follows:

You may have noted that the budget included $40,000 to cover the 1987
principal and interest payment to purchase the equipment by using equip-
ment certificates. In order to finance a purchase using equipment
certificates, there is a, set procedure that the City must follow. I have
attached a memo from Attorney Froberg which outlines this procedure.
Because this purchase involves the expenditure of a fairly substantial
amount of funds, I had the Shorewood Financial Advisory Board review our
plans for this purchase and recommend the best way from a financial per-
spective to purchase the equipment.
The discussion of the Financial Board centered around financing alternatives
including Equipment Certificates, inter-fund borrowing, leasing and outright
purchase using funds on hand.
Below I will try to do a synopsis of each discussion.

Equipment Certificates
The set procedure for issuance of Equipment Certificates was discussed.
Board Member Bohnhoff indicated that the market for this type of finan-
cing is limited and that the Federal Government has taken away all incen-
tives to lending institutions to issue tax exempt certificates. He also
stated that if the interest rate cannot exceed 7%, a lending'institution
may pass in order to loan money at higher rates to others. I have con-
tacted The Bank Excelsior to see if they would be interested. They will
be getting back to me prior to the meeting.
Inter-Fund Borrowing
It was discussed that Inter-Fund Borrowing is a viable option. However,
the interest rate for this type of borrowing is set by the legislature at
8%. Funds do exist in other funds of the city to do this.
Leasing
Leasing was also discussed as analternative. Board Member Bohnhoff indicated
that interest expense to the City would be between 7 and 8 percent.
Outright Purchase
The current funds available in the General Fundwere discussed. This, too,
was considered a viable option. If sufficient funds exist in contingency
to make the purchase outright and not have the need to borrow from other
funds for the General Fund to cover the reduction, interest expense would be
zero.
You will notice that in each al-ternative discussed by the cFinancial Advisory

Some of the reasoning for the recommendation of the Financial Advisory Board
is as follows:
-Huge increase (Approx. $250,000) in the Contingency Fund in 1986. The Board
is concerned, with citizen reaction to this increase due to the high taxes already
in existence in Shorewood.
-Interest on short-term investments is in the 5 to 6 percent range and interest
to borrow is in the 7 to 8 percent range.
-Would have to pay 7 to 8 percent to lease
-Would have to pay 7% for equipment certificates with limited market.
-Already have $40,000 in budget for equipment.
-Could use $8,150 in revenue sharing funds.

-Have built Contingency Fund to over $500s000 in approximately 3 years. Concern
is again expressed regarding over-taxation issue raised above.
-Had approximately $250s000 in Contingency Fund at the beginning of 1986 and
did not need to borrow to cover first six months expenses.
-Won't need to pay for the two trucks until after the first half of the year
is over due to delivery date estimated at 5 months from order date. This
should mean that the General Fund would not need to borro~ to cover first
six months.
I will plan to have a member of the Financial Advisory Board at the meeting
on the 23rd.

The tank shall be constructed for a maximum positive pressure of
5 PSI. The interior of the tank must be cleaned with slag and
spatter removed and all tank holes sealed during installation. The
oil supply tank shall include a magnetic drain plug, accessible air
tight fill cap, pressure/vacuum relief valve, double braided high
pressure hose, large 1 1/4 inch diameter suction hose, Gresen L.F.A.

HEAVY DUTY CUSTOM DESIGNED TORQUE ARM TYPE SNOW PLOW HITCH
GENERAL - These specifications describe a heavy duty custom designed snow plow hitch
specifically manufactured to attach to a truck with integral frame extension.
It is the intent of this specification to describe a hitch which will accom-
modate (but not necessarily be limited to) a tilt hood type truck chassis
without necessitating movement ~ the main vertical members.
It shall consist of a push frame, a lifting device, and shall be ruggedly
constructed of new material. It shall be manufactured by a recognized snow
plow manufacturer.
PUSH FRAME - Shall be of heavy plate, tubing, and angle construction. The custom
type side plates shall be 1/2" thick (R.H. & L.H.), and shall extend
back as far as practical from the front. Reinforcing ribs shall be
welded to the side plates at the points of greatest stress.

PUSH FRAME - cont. - In addition to the above side plates, two (2) extra heavy 2-1/2"
pipe braces with ba11foot ends shall be incorporated, so to transmit thrust
from the lower push frame to the underside of the chassis frame rails at a
point fore of the front axle.
The push frame shall offer Tor-Lok quick coupler.
LIFTING DEVICE - Shall be of welded and bolted construction, and shall be provided
with not less than a 4" diameter by 12" stroke shingle acting ram,
having a hard chrome plated piston rode, chevron type, packing seal,
with gland and adjustable bronze packing nut.
The ~ shall be offset from the center of the chassisiand hitch, so
to accommodate a front P.T.O. type pump. The top lug of the cylinder
shall attach to a pivoting "Torque Arm Lift Assembly", Vlhich shall
include an on center "Lift Arm", a "Torque Tube" from not less than
4" extra heavy pipe, and two (2) bolt-on bearing pads.
The main Vertical members shall be from 1/2" plate, and the bottom
cross member from not less than 1/2" formed channel, or 8" x 4" x
3/4" steel angle. In addition, (2) upper crosS members from not less
than 3" x 3" x 3/8" steel angle shall be furnished.
The "Lift Arm", "Torque Tube", and ram shall be capable of collapsing
to a service position, so to facilitate hood tilt and engine maintenanc
The lifting device shall be designed to give a minimum vertical lift
of 12".

be built from: :new material .and definitely sui,t~d for continuous work under
diffiCult cond'itions' of snow removal.
MOLDBOARD ASSEMBLY - The moldboard shall be not less than 45" high nor less than 12'
long. In order to offer a low coefficient of friction and resistance to
both corrosion and impact, the moldboard sheet shall be formed from a
one-piece, unsp1iced sheet of 3/8" thick ultra high molecular weight
polyethylene material. The polyethylene sheet shall have a minimum tensile
strength of 7000 PSI and, when tested in accordance with ASTM D638, it
shall evidence a minimum of 800% (2") elongation at break.
In addition, the sheet shall evidence no break following izod impact test
conducted in accordance with ASTM D256A.
The sheet shall be formed from a polyethylene material, which is made from
new resin (recycled material is not acceptable) and shall be color empreg-
nated and ultra violet stabilized to a "safety orange" pigmentation.
The moldboard sheet shall attach to a framework assembly of welded steel
angle and plate, which shall include not less than (10) reinforcing ribs at
least 3/8" thick x 3-1/2" wide, a lower moldboard reinforcement from not
less than 6" x 4" x 1/2" steel angle, and an upper moldboard reinforcement
from not less than 2-1/2" x 2-1/2" x 3/8" steel angle - all welded together
to form an integral shell. The upper portion of the moldboard shall project
over the cutting edge so as to form a continuous, integral, solid snow
shield.

CUTTING EDGE - Shall be one (1) number and shall' be from 1/2" x 8" CI090 steel, punched
to A.A.S.H.O. standards on 12" centers and supported by a reinforcement
from not less than 4" x 4" x 1/2" gusseted steel angle. It shall be
reversible for double wear.
MOLDBOARD AND CURB SHOES - The plow moldboard shall have a total of four (4) shoes -
two (2) fabricated moldboard shoes which attach to the rear of the
cutting edge reinforcement, at the outside ends of the moldboard, and
two (2) curb shoes which attach at both outside ribs on the moldboard.
TRIPPING EDGE MECHANISM - Shall be of single edge design, which shall activate when-
ever the cutting edge comes into contact with an obstruction on the
pavement. Trip activation shall be achieved through fJur (4) torsion
springs from not less than 3/4" wire having a 3-3/4 O.D., with sixteen
(16) active coils each. Each spring shall be pinned in place in a
horizontal position and shall butt to the lower moldboard reinforcement
and to the cutting edge reinforcement. Spring adjustment shall be
provided so as to alter the precharge of springs for varying plowing
conditions.
DRIVE FRAME AND REVERSING MECHANISM
Shall consist of two (2) - 3-1/2" diameter x 10" stroke double acting hydraulic
cylinders, and "A" frame, and a crossover relief valve. The mechanism shall be
such that the need for a conventional semicircle and latch mechanism is unnecessary.
The "A" frame shall be a boxed triangular weldment from not less than 3/8" thick
steel plate, which pins directly to the lower frame work of the moldboard assembly.
The reversing cylinders shall in turn pin to eac;:h side of the_"A" frame,. and to each
side of the lower.. framework of the moldboard assembly. The cylinders shall be piped

Council at a regular Council meeting and a resolution would be
passed by the Council ordering advertisement for bids for the

submission of the bids. The use of only one publication would

3. After the bid opening and review of the bids by the
Council, the Council would pass a resolution accepting the bids

that the contract to be entered into would be conditioned upon
the issuance of Certificates of Indebtedness to finance the
purchase in accordance with the statute.

4. After the cost of the equipment has been determined
and the Council is aware of the total amount of Certificates of
Indebtedness that will be required, the Council would pass a
resolution determining to issue the Certificates of i
Indebtedness. In this resolution the Council would determine
the denomination, the number of years (not to exceed five) ea.ch
certificate would be outstanding, the rate of interest payable
on the certificate (not to exceed seven per cent per annum),
whether the principal and interest would be payable on an annual
or semi-annual basis, and whether the certificates would be sold
at a public or a private sale.
5. If the certificates were determined to be sold
publicly, a notice of sale of certificates in the form of an
advertisement for bids would be published once in the official
newspaper and once in a daily or weekly periodical published in
a first-class city which has state-wide circulation and
furnishes financial news. The bids would be subsequently
considered by the Council and a resolution passed accepting the
successful bid,

public sale might be in the best interest in order to insure the

successful bidder, the City would pass a resolution prescribing
the certificate form and making the tax levy. This resolution
would recite the various features of the certificates and set

out the form of the certificate, including the coupon, which
would be attached to the certificate for redemption of the
periodic installments of interest due. The resolution would
also authorize the creation of a debt service fund, an equi~ment
account, a tax levy upon all the taxable property in the City,
and the treasurer would be directed to certify to the County.'
Auditor the amount appropriated to the sinking fund used to pay
the principal and interest on the certificates, and to direct
the County to reduce the levy for such year by that amount.
9. An additional resolution by the Council accepting
the equipment, once it were delivered and found to meet the
required specification as set forth in the contract, and
directing that the payment be made for the purchase price from
the proceeds of the sale of the certificates of indebtedness
would complete the purchasing transaction.

discussed the possible sale of the home next
to City Hall with several realtors. Their find-
ings would indic~te an asking price for the home
in the $115~000to $120,000 range and a sale price
in the $110,000 range. You may recall that we
purchased the home for $124,000 last year.
I chose not to include the actual prices in the
Council Packet. I did this because I felt that
if the prices that we are looking at are known,
a prospective buyer will have an advantage in
making an offer on the home, I do not want
to jeopardize our Jptimizing the sale price of
the home if you choose to sell.

Dear Mr. Mayor and Council Members:
Over the years we have met all conditions and requirements peculiar to
ownership of this with the confidence of owning a buildable piece of
property. This is not any different from what Shorewood has considered it.
The requested side variances are only necessary on about 1/3 (24 ft.) of the
length of the house (60 ft.). There is ample lot length to accomodate the
necessary set back from the lake as well as from Edgewood Road.
Surrounding neighbors, except for Mr. Garber are supportive. I am sorry to
say that his objection is based on his hopes of making an acquisition of
this property at a distressed price. Shorewoods, as well as the DNR
lakeshore and drainage requirements will be met.
I visualize the improvement of this property as a very pleasing addition to
our neighborhood. Over all this should be an asset/visually speaking, to
the City of Shorewood, as well as its contributing more revenue.
A decision to render this lot as an unbuildable one, a condition in which we
in no way contributed to, I think would be extremely unjust.
I do request your thoughtful consideration of Mr. Henney's request as well
as our concerns and rights as property owners.

WHEREAS, this Council previously sold $1,250,000 General
Obligation Improvement Bonds Series 1984A dated December 1, 1984, and
WHEREAS, the City has directed Springsted, Inc., the City's
financial advisors, to investigate the feasibility of advance refunding
the $1,250,000 General Obligation Improvement Bonds dated December 1,
1984, and
WHEREAS, SPRINGSTED Incorporated advises that a refunding will
generate a cash flow to pay the old bonds as they become due and will provide
funds to redeem all the December 1, 1984, issue at the call date in 1994, and
the Ci ty will achieve roughly $ in savings afte r the payment of
all expenses in refunding the issue,
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
SHOREWOOD, MINNESOTA:
1. The advance refunding of the $1,250,000 General
Obligation Improvement Bonds Series 1984A, is hereby determined to be
necessary and desirable for the reduction of debt service costs to the Ci ty.
2. The City shall issue and sell its General Obligation
Improvement Refunding Bonds Ser ies 1987 A, in the aggregate principal
amount of $857,000 for the above stated purposes. It is further determined
that additional bonds in the amount of $18,000 shall be issued to represent
the additional cost of marketing bonds, as authorized by Minnesota
Statutes, Section 475.56, which amount does not exceed 2% of the amount
otherwise authorized. All amounts received for the sale of said bonds in
excess of $857,000 shall be credited to the sinking fund for the payment of
interest on these obligations.
3. The Bonds shall be sold in accordance wi th the terms of the
Notice of Sale attached and marked Exhibi t A. The source of funds to repay
these Bonds shall be the special assessments received from the properties
benefi ted by the improvements and general funds from ad valorem tax levies.
4. The City Clerk is hereby directed to cause Notice of Sale
(Exhibit B) to be given by publication at least 10 days in advance of the
sale, in the official newspaper and in Commercial West or some other
financial paper published at Minneapolis, Minnesota, with general
circulation throughout the State of Minnesota.
5. That sealed bids will be received for said bonds until
11:00 a.m. on Monday, March 23, 1987, at the office of SPRINGSTED
Incorporated, 85 East Seventh Place, Suite 100, St. Paul, Minnesota, at
which time they will be opened and tabulated; and the City Council will meet

Sealed bids for the Bonds will be opened by the City on Monday, March 23,
1987, at 11:00 a.m., Central Time, at the offices of SPRINGSTED
Incorporated, 85 East Seventh Place, Suite 100, Saint Paul, Minnesota
55101-2143. Consideration for award of the Bonds will be by the City
Council at 7:00 p.m., Central Time, of the same day.
DETAILS OF THE BONDS
The Bonds will be dated April 1, 1987, as of the date of or iginal issue, and
will bear interest payable on February 1 and August 1 of each year,
commencing August 1, 1987. Interest will be computed upon the basis of a
360-day year of twelve 30-day months and will be rounded pursuant to rules
of the MSRB. The Bonds will be issued in the denomination of $5,000 each,
or in integral multiples thereof as requested by the Purchaser, and fully
registered as to principal and interest. Principal will be payable at the
main corporate office of the Registrar and interest on each Bond will be
payable by check or draft of the Registrar mailed to the registered holder
thereof at his address as it appears on the books of the Registrar as of the

The Bonds will mature February 1 in the amounts and years as follows:

The City reserves -the right, after. bids for the Bonds have been
opened, to increase or decrease the pr incipal amount of the Bonds
by an amount not exceeding $50,000, as necessary to provide funds
sufficient to defease the outstanding General Obligation
Improvement Bonds and comply with applicable arbitrage
regulations under the Internal Revenue Code. Any additional
amount of Bonds will be added in the year 2001, in multiples of
$5,000. Any decrease in the principal amount of Bonds will be
subtracted in the year 2001, in multiples of $5,000.
If the principal amount of Bonds is increased or decreased, the
purchase price of the successful bidder will be automatically
increased or decreased so as to result in a purhcase pr ice,
expressed in dollars, at the same percentage of principal as the
purchase price stated in the bid. There will be no adjustment in
the amount of the good faith check hereinafter referred to.
The City will notify the successful bidder of any adjustment in the
principal amount of the Bonds as soon as practical following the
award of sale.
OPTIONAL REDEMPTION
The City may elect on February 1, 1994, and on any interest payment date
thereafter, to prepay Bonds due on or after February 1, 1995. Redemption
may be in whole or in part of the Bonds subject to prepayment. If
redemption is in part, those Bonds remaining unpaid which have the latest
maturity date will be prepaid first. If only part of the Bonds having a
common maturity date are called for prepayment the specific Bonds to be
prepaid will be chosen by lot by the Registrar. All prepayments shall be at
a price of par and accrued interest.
SECURITY AND PURPOSE
The Bonds will be general obligations of the City for which the City will
pledge its full faith and credit and power to levy direct general ad valorem
taxes. In addition the City will pledge special assessments against
benefited property. The proceeds will be used to refund in advance of
their stated maturity all of the City's outstanding General Obligation
Improvement Bonds, Series 1984A dated December 1, 1984.
TYPE OF BID
A sealed bid for not less than $857,000 and accrued interest on the total
principal amount of the Bonds shall be filed with the undersigned prior to
the time set for the opening of bids. Also prior to the time set for bid
opening, a certified or cashier's check in the amount of $8,750, payable to
the order of the City, shall have been filed with the undersigned or
SPRINGSTED Incorporated, the City's Financial Advisor. No bid will be
considered for which said check has not been filed. The check of the
Purchaser will be retained by the City as liquidated damages in the event
the Purchaser fails to comply with the accepted bid. The Ci ty will deposi t
the check of the Purchaser, the amount of which will be deducted at
settlement. No bid shall be withdrawn after the time set for opening bids
unless the meeting of the City scheduled for consideration of the bids is
adjourned, recessed, or continued to ano~her date without award of the
Bonds having been made. Rates offered by Bidders shall be in integral
multiples of 5/100 or 1/8 of 1%. No rate for any maturity shall be more than
1% lower than any prior rate. Bonds of the same maturity shall bear a
single rate from the date of the Bonds to the date of maturity.
AWARD
The Bonds will be awarded to the Bidder offering the lowest dollar interest
cost to be determined by the deduction of the premium, if any, from, or the
addition of any amount less than par to, the total dollar interest on the
Bonds from their date to their final scheduled maturity. The City's
computation of the total net dollar interest cost of each bid, in accordance
with customary practice, will be controlling.
The City will reserve the right to: (i) waive non-substantive
informalities of any bid or of matters relating to the receipt of bids and
award of the Bonds, (ii) reject all bids without cause, and (iii) reject any
bid which the City determines to have failed to comply with the terms
herein.
REGISTRAR
The City will name the Registrar which shall be subject to applicable SEC
regulations. The City will pay for the services of the Registrar.
CUSIP NUMBERS
If the Bonds qualify for assignment of CUSIP numbers, such numbers will be
printed on the Bonds, but neither the failure to print such numbers on any
Bond nor any error with respect thereto will constitute cause for failure or
refusal by the Purchaser to accept delivery of the Bonds. The CUSIP
Service Bureau charge for the assignment of CUSIP identification numbers
shall be paid by the Purchaser.
SETTLEMENT
Within 40 days following the date of their award, the Bonds will be
delivered without cost to the Purchaser at a place mutually satisfactory to
the City and the Purchaser. Delivery will be subject to receipt by the
Purchaser of an approving legal opinion of Wurst, Pearson, Larson,
Underwood, and Mertz, of Minneapolis, Minnesota, which opinion will be
printed on the Bonds, and of customary closing papers, including a no-
litigation certificate. On the date of settlement, payment for the Bonds
shall be made in federal, or equivalent, funds which shall be received at
the offices of the City, or its designee, not later than 1:00 p.m. Central
Time. Except as compliance with the terms of payment for the Bonds shall
have been made impossible by action of the City, or its agents, the
Purchaser shall be liable to the City for any loss suffered by the City by
reason of the Purchaser's non-compliance with said terms for payment.
At settlement the Purchaser will be furnished with a certificate, signed by
appropriate officers of the City, to the effect that the Official Statement
did not as of the date of the Off icial Statement, and does not as of the date
of settlement, contain any untrue statement of a mater ial fact or omit to
state a mater ial fact necessary in order to make the statements therein, in
light of the circumstances under which they were made, not misleading.
OFFICIAL STATEMENT
Underwriters may obtain a copy of the Official Statement by request of the
City's Financial Advisor prior to the bid opening. The Purchaser will be

The City will appoint a Bond Registrar, Transfer Agent and Paying Agent.
Interest will be payable on each February 1 and August 1, commencing August
1, 1987, to the registered owners of the Bonds appearing of record in the
bond register as of the 15th day of the immediately preceding month. No
rate of interest nor the net effective rate of the issue may exceed the
maximum legal rate determined pursuant to Minnesota Statutes, Section
475.55. An unqualified legal opinion will be furnished by Messrs. Wurst,
Pearson, Larson, Underwood, and Mertz, of Minneapolis, Minnesota. The
purpose of the bonds is to finance the advance refunding of $1,250,000
General Obligation Improvement Bonds, Series 1984A, dated December 1,
1984, and will be paid for by special assessments received from properties
benefited by the improvements and, if necessary, from an ad valorem tax
levy. The full faith, credit and taxing powers of the City are pledged to
all Bonds. No bid of less than $857,000 will be considered.
Bidders should be aware that the Off icial Terms of Offer ing to be published
in the Official Statement for the Offering may contain additional bidding
terms and information relative to the issue. In the event of a variance
between statements in this Notice of Bond Sale and said Official Terms of
Offering, the provisions of the latter shall control.
