This placed the operation of the Center on the Cities of Deephaven, Greenwood, Excelsior, Tonka Bay and Shorewood. The council discussed the interim plans including authorizing the city to act as the fiscal agent. The Council also heard from the city attorney and a letter was sent to the former Friends president regarding rental arrangement and other issues. Shorewood was notified on Tuesday, February 24, that the LMCC was interested in purchasing the building and on Monday, March 1 Tom Scanlon, Chair of the LMCC delivered a "terms" sheet for the purchase of the building (see attached). Monday evening Tonka Bay City Council held a special work session to discuss the issue. At this point, the Council has questions and will be sending a letter similar to the one Shorewood sent. Tonka Bay is open to all options including selling the building. They do have questions regarding fair market value, zoning requirements/restrictions, the Shorewood option, etc. and indicated to Mr. Scanlon that a decision in 30 days might not be feasible. The Deephaven Council also discussed this issue as part of their meeting on Monday night. I spoke to Mr. Dana Young and he related that the Deephaven Council is interested in pursuing the sale of the building as a first option. 411, PRINTED ON RECYCLED PAPER ip -2- March 4, 2009 I spoke to Kristi Luger regarding the Excelsior Council discussion on the issue which took place on Monday as well. The Excelsior Council is interested in trying to make the Center work for a year. They are not interested in pursuing the sale of the facility at this time. The Greenwood Council discussed the Center at their meeting on Tuesday. Based on information provided by Tom Anderson and previous information obtained regarding the status of the facility, the Council laid over the discussion and will conduct a special meeting on Monday, March 9 and will make a decision at that time. OPTIONS There are essentially two options for the Council to consider regarding the firture of the Center: continue operations or terminate the partnership and exercise one of the options under Section 6 of the Cooperative Agreement. These options are discussed in more detail below. Sale of Huildi~ In order for the facility to be sold a few criteria must be met. 1) Fair market value must be determined; 2) Four of the five member cities must agree to terminate the current arrangement; 3) Shorewood must choose to forgo its option to acquire the facility, 4) Facility sold to a third party. There is no mechanism in the Cooperative Agreement indicating how the fair market value is determined, so the cities need to agree to a method for establishing this value. The sale of the building will relieve the city of the responsibility of potentially contributing to the ongoing operation or maintenance of the building. The LMCC will be located in the City and own the building. The sale of the building to the LMCC under the terms offered will result in approximately $18,000 in annual income to the city over ten years for a total of $180,000. The sale of the building will necessitate the notification to the current renters of their need to find a different location for their events. Cities loose additional space to hold forums, meetings, and educational events. Some of the events scheduled include chess camp scheduled for three one week sessions in June, July and August; Rain water garden class sponsored by Shorewood in April and May; The Minnetonka Arts Tour in May. Continued Operation The continued operation of the facility requires the designation of a fiscal agent (currently Shorewood is serving in this capacity); developing a mechanism to monitor the operation of the facility (amending the cooperative agreement); determination if the cities -3- March 4, 2009 will manage and operate the facility or if a management agreement can be worked out with a third party. Continuing the operation may result in the providing a subsidy to cover operational shortfalls; Staff time may be allocated to process checks and payments as fiscal agent; Staff time may be necessary to manage agreements. Keeping the building open provides space for the community and the cities; provides a location for expanded programming for residents; rental of the space can continue with income used to offset operational costs; Does not eliminate the option to dispose of the building if maintaining the operation is too onerous. Based on past revenue and expense history and the bookings already in place, the potential subsidy from all five cities for the balance of 2009 is estimated to be $4,200. Shorewood's share based on the methodology used in the original construction would be $2,100 (see attached spreadsheets and current rental bookings). RECOMMENDATION I recommend the following: 1) Keep the facility in operation for the balance of 2009; 2) Seek partners to provide management and operation of the facility (e.g. handling rentals, general up-keep and maintenance, scheduling, etc.); 3) Seek partners to increase programming and use of facility; 4) If the continued operation of the facility becomes too onerous and subsidy too high to maintain, consider disposing of the building in 2010. This will require establishing criteria to determine "success" of the facility. One criterion is acceptable level of subsidy toward the maintenance of the facility. My goal here is to let you know what will work for us by being open and direct. Hopefully your INDEPENDENCE expectations and ours will be close. We have been in the building numerous times and have found it to be a wonderful facility, however we will have to make some changes to allow our studio productions. We with have to raise the ceiling LONG LAKE about 3 feet. Our builder gave us an estimate of about $150,000.00. LORETTO The parking will be a wonderful improvement for us and we would hope to be allowed its continued use. MAPLE PLAIN With the build out costs pressuring our finances, we would be limited to a 10 year MEDINA length. Thus, a lease to purchase and not a contract for deed, according to our attorney. A slight twist might be that if the cities pay or participate in the build MINNETONKA out, we would then be able to do a contract for deed at a 5 year length. The BEACH LMCC of course would add that build out cost into our payment plan. NIINNETRISTA We are proposing payments of $36,000. Per year or $3,000. Per month over 10 years with an option to buy of $1. The LMCC of course would cover all ORONO maintenance, repairs and insurance. ST. BONIFACILIS A specific need we would have in the future would be to add on an attached garage. We have a van that allows us to do remote broadcasts and would need SHOREWOOD inside storage. So additional land would be required. I appreciate your willingness to hear our proposals on such short notice and also SPRING PARIS look forward to getting your creative ideas on this matter. Over the past several months we have been exploring other options. Such as renting or INDEPENDENCE purchasing another building and even purchasing the building we are currently in. Facts about our ability to enter into a possible agreement. LONG LAKE -This is our 25th year serving our member communities -We receive our funding through cable TV franchise and PEG fees. LORETTO -Our current fund balance is approximately $400,000.00. -2008 Revenue was $614,000.00 MAPLE PLAIN Per our Joint Powers Agreement, approval is needed from 2/3rds of our 17 MEDINA member cities. We will not be asking them for money to aid us in making this purchase, only permission. MINNETONKA BEACH We feel we provide valuable community services, from our work with the local schools to our seniors. MINNETRISTA We are advocates for cable customers who have not had satisfactory outcomes with our local cable provider. ORONO We bring local government into the homes of our citizens, giving them the ability to become more informed, involved and active. ST.
