A RESOLUTION APPROVING
R ♦ 'e ESTATE BY
LAKE MINNETONKA COMMUNICATIONS COMMISSION
WHEREAS, the Lake Minnetonka Communications Commission ( "Commission ") was
established under MN Statute 238.08 and MN Statute 471.59 pursuant to a Joint and Cooperative
Agreement ( "Agreement ") by and between the cities of Deephaven, Excelsior, Greenwood,
Independence, Long Lake, Loretto, Maple Plain, Medina, Minnetonka Beach, Minnetrista,
Orono, St. Bonifacius, Shorewood, Spring Park, Tonka Bay, Victoria, and Woodland, Minnesota
( "Member Cities "); and,
WHEREAS, the Commission produces community programming and administers and
enforces the cable franchise on behalf of the Member Cities; and,
WHEREAS, the Commission leases office and studio space in a building located at 4071
Sunset Drive, Spring Park, Minnesota, 55384 ( "Property "); and
WHEREAS, the Commission has determined that it is in the best interests of the
Commission and Member Cities to purchase the Property; and
WHEREAS, the Commission has approved acquisition of the Property and has
negotiated the terms of such transaction; and
WHEREAS, pursuant to the Agreement, in order for the Commission to purchase real
estate two - thirds (2/3) of the Member Cities must approve.
NOW, THEREFORE BE IT RESOLVED, by the City of Shorewood that:
1. The Commission's purchase of the Property is approved upon the terms and
conditions negotiated and approved by the Commission;
2. The Commission shall be solely responsible for payment of the purchase price and
for ownership of the Property including all capital improvements and all costs of
operating and insuring the Property;
3. This Resolution shall be effective immediately.
ADOPTED by the City Council of the City of Shorewood this 11 t" day of May, 2009.
