BEING AN OR..l)INANCE FOR THE PURPOSE OF
PRO~OTING HEALTH, SAFETY, ORDER, CONVEN-
IENCE, PROSPERITY AND GENERAL WELFARE BY
REGULATING THE USE OF LAND, THE LOCATION,
AREA SIZE, USE AND HEIGHT OF BUILDINGS ON
LOTS AND THE DENSITY OF POPULATION IN THE
CITY OF SHOREWOOD, MINNESOTA
The City Council of the City of Shorewood, Minnesota
ordains:
SECTION 1. Ordinance No. 77, Section 16, is hereby amended
by adding thereto the following paragraph:
"Lot 6, St. Albans Bay Estates, and Lot 74, Auditor's
Subdivision 141, Hennepin County, Minnesota, is hereby
included within the R-3 zone of this ordinance and the
official zoning map shall be forthwith amended to show
such change of zoning."

SECTION 2. This ordinance shall be in effect from and after
its passage and publication.

IN RESPONSE TO THE FILED
APPLICATION.
The City' Council or the City or
Shorlwood does ordain:
I. POLICY STATEMENT
Industrial development bond fi-
nancing is undertaken by the City
pursuant to the provisions or the Mu-
nicipal Industrial Development Act.

purpose Is to encourage economic
growth within the Citro

In order to provide a procedure for
applying for and Issuance of such
bOnds. the loliowlng requirements
are hereinafter set forth:
n. DEFiNiTIONS
As used herein:
I. "Bond" means the Revenue Bonds
or revenue notes or other revenue.

III. APPLICATION

date during which time all mat-
ters relating to approval by the
State Commissioner 01 Securities
and .other approval bodies shall
be obtained and all matters relat-
ing to the issuance or the bonds
completed and the bonds Issued
unless good cause is shown for an
extension.

paid by the Applicant.

Project.
E. Prior to the adoption of the final
resolution authorlzinllssuance of tile
industrial revenue bonds, the appll.
cant shall deliver a firm financing

purehaser acceptable to the city. '
V. LEGAL DOCUMENTS
A. Pending apJlroval 01 the Project
by the Commissioner, bond counsel
may proceed to prepare a drafl ofthe
necessary legal doc:umel,lts and pro-
ceedings lor the transaction.
B Draft copies 01 any instruments,
documents or proceedlnp which the
city must adopt or approve or which
the city must. slID or __te shall be
delivered to the city attorney for
review. The city attorney shall work
with the Applicant, bond coullsel and
the orl,lnal purchaser, and shall re-
port to the couD,cll an, ehaD,es in tile
requirements 01 the Project he deems
appropriate prior to the date set lor
the adoption of the final rroceedlnp..
C. Bond counsel shal be respon-
sible for the correct procedures to be
'followed In the adoCtion of the various
legal proceedln,s y the clt, and the
Applicant. Bond counsel shall pre-
pare and distribute closln, docu-
ments at least two weeks prior to the
proposed closing date. .
D. Three (3) complete and flnai
copies of each instrument or docu-
ment which the city must adopt or
approve or which the city must sign
or execute shall be delivered to the
city together wlth,.ten (10) copies of
the 'IInal 'resolution authorizing the
issuance 01 the bonds, at least two
weeks prior to their tentative adop-
tion date by the city. counsll. The
resolution shall be-in the form used by
the city and approved by the city
attorney.
E The documents will contain no
warranties by the city. The purchase
price and Interest rates to be borae on
the bonds shall be determined no
later than two days prior to the date
set to adopt.the final resolution au-
lhorizing the bonds.
VI. CLOSING
A Arrangements for the closing of
the' transaction shall be made with
the city in advance. In establishing
the closing date. sufficient time shall
be ullowed for obtaining the execu.
tlon of the documents by the city. All
documents to be executed by the city
shall IIrst be executed by any. other
signatories' or parties to such docu-
ments.
B. The bond closing shail take place
at a location mutually acceptable to
all parlles. ,
C. Bond counsel shall be respon-
sible for all necessary recordings.
D. At tbe time of closing tbe city's
feeshall..,be paid to the
Clerk/Adm~' Istrator. This fee is 17-
of the prln al amount of the bonds
but not less an the minimum fee of

VII. RESERVATION OF RIGHTS
A. Until tbe bonds are issued and
notwltbstandlng that any agreements
or approvals or understandings may
have indicated to the applicant or
original purchaser that the city would
take any action at any certain date,
the city reserves the right to:
1. ReJect the application for
bonds In whole.
2. Reject the, application for
bonds as being incomplete.
3. Rej*t the Applicant.s choice
of underwriter, trustee, paying
agent or bond counsel.
t. Reject the Project in whole or
in part. ' ,
5. Require "no'actlon" letters or
fnternal Revenue Service rulings
before issuing the bonds. If such
letters or rulings are required,
the issuer shall be responsible to
submit the needed request.
6. Require corrections or amend-
ments to any legal proceedings.
7. Impose any other require-
ments as conditions precedent to
the Issuance of its Iionds.
8. Consult with bond counsel con-
cerning the Project or issuance, of
the bonds.
VIII. ACCURACY OF DA.TA
A. UnderwrUer', and Placement

The Underwriter shall have the

by the Applicant. The Underwriter ,

true and correct. Tbe' Underwriter
sballlndemnify and bold the City, its
officers, empioyees, and sta(f, and
the Commission, Its members and
staff, individually barmless from any
error or omission in any official
statement.
In tbe event of a private placement,
tbe placement agent, or in tbe
absence tbereof, tbe Applicant, shall
be responsible for the preparation of
any placement memorandum and
sballlndemnlfy and hold the City and
its members and staff indivldualiy
harmless from any error or omis-
sions In anr placement memo-
randum. In al private placements, a
placement letter shall be required of
tbe original purcbaser. '
B. Accountant's Conlent

Amending No. 68
ESTABLISHING RULES, RATES AND CHARGES
FOR SANITARY SEWER SERVICES
An ordinance to amend Ordinance No. 68, an ordinance establish-
ing rules, rates and charges for sanitary sewer services in the City
of Shorewood, Hennepin County, Minnesota.
The C:i.ty Council of the City of Shorewood does ordain:
Section 1. That Section 2, subdivision A and B of Ord,inance
No. 68 of the City of Shorewood be amended to
read as follows:
"A". Minimum charges -- The minimum quarterly
charge whether the use of water is metered
or not metered shall be that quarterly or
monthly charge established by resolution
of the City Council of the City of Shore-
wood."
"B". Metered flow charges shall be established
by resolution of the City Council of the
City of Shorewood.
Section 2. Repeal. Ordinance No. 85 of the Ordinances of
the City of Shol'ewood is hereby repealed.
Section 3. This ordinance shall take effect from and after
its passage and publication.

Section 3, .hall be amended to read as
