' V. LEGAL DOCUMENTS A. Pending apJlroval 01 the Project by the Commissioner, bond counsel may proceed to prepare a drafl ofthe necessary legal doc:umel,lts and pro- ceedings lor the transaction. B Draft copies 01 any instruments, documents or proceedlnp which the city must adopt or approve or which the city must. slID or __te shall be delivered to the city attorney for review. The city attorney shall work with the Applicant, bond coullsel and the orl,lnal purchaser, and shall re- port to the couD,cll an, ehaD,es in tile requirements 01 the Project he deems appropriate prior to the date set lor the adoption of the final rroceedlnp.. C. Bond counsel shal be respon- sible for the correct procedures to be 'followed In the adoCtion of the various legal proceedln,s y the clt, and the Applicant. Bond counsel shall pre- pare and distribute closln, docu- ments at least two weeks prior to the proposed closing date. . D. Three (3) complete and flnai copies of each instrument or docu- ment which the city must adopt or approve or which the city must sign or execute shall be delivered to the city together wlth,.ten (10) copies of the 'IInal 'resolution authorizing the issuance 01 the bonds, at least two weeks prior to their tentative adop- tion date by the city. counsll. The resolution shall be-in the form used by the city and approved by the city attorney. E The documents will contain no warranties by the city. The purchase price and Interest rates to be borae on the bonds shall be determined no later than two days prior to the date set to adopt.the final resolution au- lhorizing the bonds. VI. CLOSING A Arrangements for the closing of the' transaction shall be made with the city in advance. In establishing the closing date. sufficient time shall be ullowed for obtaining the execu. tlon of the documents by the city. All documents to be executed by the city shall IIrst be executed by any. other signatories' or parties to such docu- ments. B. The bond closing shail take place at a location mutually acceptable to all parlles. , C. Bond counsel shall be respon- sible for all necessary recordings. D. At tbe time of closing tbe city's feeshall..,be paid to the Clerk/Adm~' Istrator. This fee is 17- of the prln al amount of the bonds but not less an the minimum fee of SI,ooo.oo nor more than a maximum of SIO,OO9.oo, The Sl.ooo.oo deposited with tbe application shall lie con- sidered as part of this payment. VII. RESERVATION OF RIGHTS A. Until tbe bonds are issued and notwltbstandlng that any agreements or approvals or understandings may have indicated to the applicant or original purchaser that the city would take any action at any certain date, the city reserves the right to: 1. ReJect the application for bonds In whole. 2. Reject the, application for bonds as being incomplete. 3. Rej*t the Applicant.s choice of underwriter, trustee, paying agent or bond counsel. t. Reject the Project in whole or in part. ' , 5. Require "no'actlon" letters or fnternal Revenue Service rulings before issuing the bonds. If such letters or rulings are required, the issuer shall be responsible to submit the needed request. 6. Require corrections or amend- ments to any legal proceedings. 7. Impose any other require- ments as conditions precedent to the Issuance of its Iionds. 8. Consult with bond counsel con- cerning the Project or issuance, of the bonds. VIII. ACCURACY OF DA.TA A.
