MINUTES
1. CONVENE ECONOMIC DEVELOPMENT AUTHORITY MEETING
President Love called the meeting to order at 9:56 P.M.

Review Agenda
President Love reviewed the Agenda and without objection from the Board, moved forward with the
meeting.
2.
APPROVAL OF MINUTES
A. EDA Minutes of October 22, 2001
Turgeon moved, Zerby seconded, approving the EDA Minutes of October 22, 2001, as presented.
Motion passed 4/0.
3. NEW BUSINESS
A. Agency Agreement for Public Safety Facilities
Executive Director Dawson explained all member cities of the South Lake Minnetonka Police
Department (SLMPD) had made commitments to the construction of a new police station with the
Excelsior Fire District (EFD) main station at 24140 Smithtown Road.
As part of expediting the process for construction, the EDA Board discussed entering into a three-party
agreement with the EFD and SLMPD. As part of this agreement, the fire and police districts would be
able to engage architectural, engineering, and related services required for construction of the new
facilities with EDA participating in that process. Costs incurred by the EFD and SLMPD would be
reimbursable through proceeds from financing arranged by the EDA. In addition, the EDA would remain
the "owner/landlord" until financing would be retired, and the "tenants" would be responsible for all
necessary maintenance, repair, and improvements.
Executive Director Dawson thanked Attorney Keane for his diligent efforts made in preparing the
Agency Agreement for all parties.

Zerby moved, Lizee seconded, approving and Authorizing Execution of the Cooperative
Agreement with the Excelsior Fire District and the South Lake Minnetonka Police Department
related to the planning and construction of new public safety facilities. Motion passed 4/0.
4. OTHER BUSINESS
There was no other business for consideration this evening.
5. ADJOURN
Turgeon moved, Zerby seconded, adjourning the Economic Development Authority Meeting of
December 10, 2001, at 10:02 P.M. Motion passed 4/0.
