10-10-23 EDA MinutesCITY OF SHOREWOOD 5755 COUNTRY CLUB ROAD ECONOMIC DEVELOPMENT AUTHORITY COUNCIL CHAMBERS TUESDAY, OCTOBER 10, 2023 6:00 P.M. MINUTES 1. CONVENE ECONOMIC DEVELOPMENT AUTHORITY MEETING President Labadie called the meeting to order at 6:04 P.M. A. Roll Call Present. President Labadie; Commissioners Callies, Sanschagrin, and Zerby; Executive Director Nevinski; Finance Director Rigdon; and Planning Director Darling. Absent: Councilmember Maddy B. Review Agenda Commissioner Callies asked to add review of the bylaws to the agenda and referenced language that states they will meet annually in July, which they have not done for the last two years. She noted that she thinks some of these should be reviewed and suggested that the EDA Attorney could review them and see what may need to be clarified for accuracy because they are not currently following the procedures. Callies moved, Labadie seconded, to direct EDA Attorney Shepherd review the EDA Bylaws and provide recommendations for updating the language. Motion passed. President Labadie noted that since this direction was given the agenda would not need to be amended to add discussion of the bylaws and could be considered, in its original form. Callies moved, Labadie approving the agenda. Motion passed. 2. APPROVAL OF MINUTES A. EDA Minutes of October 24, 2022 Callies moved, Labadie seconded, approving the October 24, 2022 EDA Minutes, as presented. Motion passed. 3. NEW BUSINESS A. Appoint 2023 Officers Executive Director Nevinski explained that the EDA is required, on an annual basis, to appoint these positions. President Labadie stated that she thinks the first action would be to acknowledge Commissioners Sanschagrin, Maddy, and Zerby as Commissioners of the EDA. Motion passed. Callies moved, Sanschagrin seconded to appoint Commissioner Maddy to serve as President Pro-tem. Motion passed. Commissioner Callies expressed concern about the duties and responsibilities listed for the Treasurer position. Commissioner Sanschagrin asked why it was originally set up in this manner. Commissioner Callies stated that she did not know and was another reason that she would like the bylaws to be reviewed. Executive Director Nevinski suggested that the EDA fill the Treasurer position for the time being, but designate authority to Finance Director Rigdon for the day to day tasks. He stated that can get them through this until they can review and make revisions to the bylaws. Callies moved, Zerby seconded, to appoint Commissioner Sanschagrin to serve as Treasurer, but designate authority to Finance Director Rigdon for the day to day tasks, as discussed. Motion passed. Callies moved, Zerby seconded, to appoint Finance Director Rigdon to serve in the capacity and assume the duties of Treasurer for the EDA. Motion passed. President Labadie directed staff to ensure that the EDA Attorney finish their review in plenty of time for their next meeting. 4. ADJOURN Zerby moved, Sanschagrin seconded, Adjourning the Economic Development Authority Meeting of October 10, 2023, at 6:19 P.M. Motion passed.
