RESOLUTION NO. 27-86
WHEREAS, Interstudy, Inc., a Minnesota non-profit
corporation, and Robert W. Fayfield have applied for a division
and combination of certain real property in the City of
Shorewood, Hennepin County, Minnesota, described as follows:
(Interstudy Property A, B, C1 and C2); and
WHEREAS, the applicants have agreed to donate to the
City a portion of said property for purposes of a Public Park to
provide a public access to Christmas Lake, said portion being
described as follows:
(Interstudy Property B, C1); and
WHEREAS, the applicants have agreed to a combination of
the remaining portions of said property with other lands as set
forth herein; and
WHEREAS, the applicants have agreed to provide the City
with a roadway easement and right-of-way for ingress and egress
to said public access site; and
WHEREAS, a public hearing was held by the Planning
Commission on April 1, 1986, for which notice was duly published
and adjacent property owners were notified; and
WHEREAS, the Council has determined that it is in the
public interest that such property division be made and that
such donation of land be accepted by the City for purposes of a
public park to provide a public access to Christmas Lake.
NOW, THEREFORE, BE IT RESOLVED by the City Council of
the City of Shorewood as follows:
1. That the real property described as follows:

WHEREAS, Paul Ellwood is the contract purchaser of real
property in the City of Shorewood, Hennepin County, Minnesota,
described as follows:
See Exhibit No. 3 attached hereto and made a part hereof; and
WHEREAS, InterStudy, Fayfield and Ellwood have applied
to the City for a division and combination of said real
property; and
WHEREAS, the applicants have agreed that a portion of
said real property be donated to the City for purposes of a
public park to provide a public access to Christmas Lake; and
WHEREAS, the applicants have agreed to a combination of
the remaining portions of said property as set forth herein; and
WHEREAS, the applicants have agreed to provide the City
with a roadway easement and right-of-way over and across the
property described in Exhibit No. 1 for ingress and egress to
said public access site; and
WHEREAS, a public hearing was held by the Planning

NOW, THEREFORE, BE IT RESOLVED by the City Council of the
City of Shorewood as follows:
1. That the real property owned by InterStudy, Inc., and
described in Exhibit No. 1 attached hereto be divided into separate
tracts of land described as follows:
Tract A: See Exhibit No. 4 attached hereto and made a part hereof.
Tract B: See Exhibit No. 5 attached hereto and made a part hereof.
Tract C: See Exhibit No. 6 attached hereto and made a part hereof.
Tract D: See Exhibit No. 7 attached hereto and made a part hereof.
2. That Tract A be combined with the property described in
Exhibit No. 2.
3. That Tract B and Tract C be combined to form a single
tract of land, which combined tract is to be donated to the City of
Shorewood.
. 4. That Tract D be combined with the property described in
Exhibit No. 3.
5.
That the City enter into that certain Easement Agreement
, 1986, attached hereto and made a part hereof
dated
as Exhibit No.8.
BE IT FURTHER RESOLVED, that the City Clerk furnish
applicants with a certified copy of this Resolution for filing with
the Hennepin County Recorder and Registrar of Titles.

EASEMENT AGREEMENT
THIS AGREEMENT entered into this May
1986 by and
between
InterStudy,
a
Minnesota
non-profit
corporation
("InterStudy"), the City of Shorewood, a Minnesota municipal
corpor a tion e" Ci ty") and the Sta te of Minnesota Depar tmen t of
Natural Resources ("DNR").
RECITALS
A. . InterStudy is the owner of certain property located in
Hennepin County, Minnesota legally described on Exhibit A
attached hereto and made a part hereof ("InterStudy Property").
B. City is the owner of certain property located in

Hennepin County, Minnesota legally described on Exhibit B
. attached hereto and made a part hereof ("City Property"), which
wi 11 be used as a publ i c wa ter access si te to Chr istmas Lake,
Hennepin County, Minnesota.
C. The parties desire that InterStudy grant to City a
certain easement for public roadway and underground electrical
purposes to provide ingress and egress to the City Property.
NOW THEREFORE, InterStudy hereby grants and conveys to
City, its successors and assigns, a perpetual non-exclusive
easement for public roadway and underground electrical purposes
over the portion of the InterStudy Property legally described
on Exhibit C attached hereto and made a part hereof ("Easement
Roadway") .
This easement benefits and is appurtenant to the
. City Property and burdens the InterStudy Property. This grant
of an easement is made on the fOllowing terms and conditions:
EXHIBIT 8
1. .DNR shall 'pave within the Easement Roadway a finished
. two inch bituminous surface of 20 feet in width with two foot
unpaved shoulders on each side.
The
loca tion of the
underground electrical line and the portion of such bituminous
surface west of the Ci ty Property shall, to the extent pos,slble
follow the existing natural grade of the InterStudy property
and minimize the removal of trees and brush within the Easement
Roadway.
In the event the bi tuminous surface of the Easement
Roadway shall requiref in the reasonable opinion of city,
resurfacing within ten years after the original surfacing, DNR
shall provide or bear the expense of the resurfacing.
2. Ci ty shall be responsible for the maintenance of the
Easement Roadway and shall keep it in good condition and repair

and in accordance wi th all laws, ordinance and other legal
requirements applicable thereto.
In addition, city shall
maintain "no parking" signs along the Easement Roadway and
along Radisson Road and Chr is tmas Lake Road which are in the
vicinity of the Easement Roadway.
3. The easement granted in this Agreement shall be
perpetual; provided, however, that in the event the DNR
enlarges the public water access site on the City Property to
accommodate more than seven (7) parking spaces or shall acquire
and develop another public water access site on Christmas Lake,
or if any other public body develops an additional public water
access site on Christmas Lake which is not inferior to the

public water access site on the City Property in the number of
parking spaces and hours of operation, the easement granted in
this Agreement shall terminate, all rights of City in the
Easement Roadway shall terminate and all~obli9ations ofDNR to

Such
. forfeiture of the easement shall occur automatically upon the
occurrence of the above-stated event, but City shall, at the
request of InterStudy, provide a recordable quit claim deed to

4. The' provisions hereof and the burdens and benefits
imposed and conferred by this Agreement shall be deemed
covenan ts running wi th the land, shall be binding upon and
inure to the benefit of the parties hereto and to their
respective successors and assigns.
