Bonnie Burton, Assistant Treasurer ,oT.-J Craig Dawson, Executive Director and secretaryo) Dissemination Agent Agreement for Continuing Disclosure Reporting TO: FROM: RE: Since 1995, all new bond issues of a governmental entity of $1,000,000 or more are subject to an annual reporting rule of the Securities and Exchange Commission. This rule requires that an Annual Report be prepared and filed by the issuer, or its designated agent, with a National Repository. The purpose is to have information available about the issuer on file at centralized locations available for review by investors. Typically, the designated agent filing the reports is the financial advisory firm that issued the bonds, which in the case of the EDA, is Northland Securities, Inc. Attached for your review and approval is a 'Dissemination Agent Agreement' authorizing Northland Securities, Inc. to act as the EDA's designated agent. Upon approval, they will gather information, prepare, and file the Annual Report on behalf of the EDA. Recommended action: Staff recommends a motion approving the Dissemination Agent Agreement with Northland Securities, Inc. and authorizing the EDA President and Executive Director to execute the agreement. 4fJB DISSEMINATION AGENT AGREEMENT THIS DISSEMINA nON AGENT AGREEMENT (the "Dissemination Agreement"), dated as of the 1st day of November, 2003, by and between the City of Shorewood, Minnesota, 5755 Country Club Road, Shorewood, MN 55331 (the "Issuer") and Northland Securities, Inc., 45 - South 7th Street, Suite 2500, Minneapolis, MN 55402 ("the Dissemination Agent") in connection with bond issues of the Issuer (the "Bond Issues") identified in Exhibit A which is attached to and by reference made a part of this Dissemination Agreement: The Issuer and the Dissemination Agent covenant and agree as follows with respect to the Bond Issues: SECTION 1. Definitions. the following capitalized terms shall have the following meanings: "Annual Report" shall mean the document or documents filed by the Dissemination Agent with a National Repository or State repository pursuant to this Dissemination Agreement. "Annual Report Data" shall mean the Issuer's audited fmancial statements, such other financial information and operating data for each Bond Issue as may be requested by the Dissemination Agent to compile the Annual Report, and information collected by the Dissemination Agent (such as data from the county auditor). "Continuing Disclosure Agreement" shall mean that certain agreement or undertaking executed by the Issuer at the time of issuance of the bond issues listed in Exhibit A. "Disclosure Representative" shall mean the Administrator of the Issuer or his or her designee, or such other officer or employee as the Issuer shall designate in writing to the Dissemination Agent from time to time. "Listed Events" shall mean any of the material events listed in Section 5(a) of this Dissemination Agreement. "National Repository" shall mean any Nationally Recognized Municipal Securities Information Repository for purposes of the Rule. Attached to and by reference made a part of this Dissemination Agreement is Exhibit B, a current list of National Repositories. Notwithstanding anything to the contrary contained herein, Exhibit B may be amended from time to time by the Dissemination Agent, following the designation of additional National Repositories or loss of such status by an existing National Repository, by delivering a notice of amendment and an amended Exhibit B to the Issuer. Shorewood.doc Page 1 9/25/2003 "Rule" shall mean Rule 15c2-12(b)(5) adopted by the Securities and Exchange Commission under the Securities Exchange Act of 1934, as the same may be amended from time to time. "SEC" shall mean the Securities and Exchange Commission or any successor to its functions governing state and municipal securities disclosure. "State" shall mean the State of Minnesota. "State Repository" shall mean any public or private repository or entity designated by the State as a state repository for the purpose of the Rule. As of the date of this Agreement, there is no State Repository. "Tax-Exempt" shall mean that interest on the Bonds is excluded from gross income for federal income tax purposes, whether or not such interest is includable as an item of tax preference or otherwise includable directly or indirectly for purposes of calculating any other tax liability, including any alternative minimum tax or environmental tax. SECTION 2. Purpose of the Dissemination Agreement. This Dissemination Agreement is being entered into by the Issuer and the Dissemination Agent in order to assist the Issuer in complying with the Rule. SECTION 3. Provision of Annual Reports. (a) On or before November 1, 2003 and by August 1 of each year thereafter, the Issuer shall provide the Annual Report Data to the Dissemination Agent. The Dissemination Agent shall compile and provide to each Repository by December 31 st; of each year commencing December 31, 2003, the Annual Report for each Bond Issue in a format consistent with the Rule. (b) If by August 1 of each year, the Dissemination Agent has not received a copy of the Annual Report, the Dissemination Agent shall contact the Issuer to determine if the Issuer is in compliance with subsection (a). (c) The Dissemination Agent shall: (i) determine each year prior to December 31 st, the name and address of each National Repository and each State Repository, if any; and (ii) file a report with the Issuer and the Trustee (if applicable) certifying that the Annual Report has been provided pursuant to this Dissemination Agreement, stating the date it was provided and listing all the Repositories to which it was provided. The Annual Report prepared by the Dissemination Agent for each Bond Issue shall contain or incorporate by reference the financial information and operating data specified in the applicable Continuing Disclosure Agreement or continuing disclosure provisions of any applicable Resolution, Indenture, Loan Agreement or Lease Agreement, relating to bond issues listed in Exhibit A. SECTION 5. Reporting of Significant Events. (a) This Section 5 shall govern the giving of notices of the occurrence of any of the events listed below or in the Issuer's Continuing Disclosure Agreement or in the applicable Resolution, Indenture, Loan Agreement or Lease Agreement: (1) Principal and interest payment delinquencies; (2) Non-payment related defaults; (3) Unscheduled draws on debt servIce reserves reflecting financial difficulties; (4) Unscheduled draws on credit enhancements reflecting financial difficulties; (5) Substitution of credit or liquidity providers, or their failure to perform; (6) Adverse tax opinions or events affecting the tax-exempt status of the security; (7) Modifications to rights of security holders; (8) Bond calls; (9) Defeasances; (10) Release, substitution, or sale of property securing repayment of the securities; and (11) Rating changes. (b) The Dissemination Agent shall, within one (1) Business Day of obtaining actual knowledge of the occurrence of any of the Listed Events, contact the Disclosure Representative, inform such person of the event, and request that the Issuer promptly notify the Dissemination Agent in writing whether or not to report the event pursuant to subsection (t). (c) Whenever the Issuer obtains knowledge of the occurrence of a Listed Event, the Issuer shall as soon as possible determine if such event would constitute material information for Holders of Bonds. Shorewood.doc Page 3 9/25/2003 (d) If the Issuer has determined that knowledge of the occurrence of a Listed Event would be material, the Issuer shall promptly notify the Dissemination Agent in writing. Such notice shall instruct the Dissemination Agent to report the occurrence pursuant to subsection (t). (e) If in response to a request under subsection (b), the Issuer determines that the Listed event would not be material, the Issuer shall so notify the Dissemination Agent in writing and instruct the Dissemination Agent not to report the occurrence pursuant to subsection (t). (t) If the Dissemination Agent has been instructed by the Issuer to report the occurrence of a Listed Event, the Dissemination Agent shall file a notice of such occurrence with the Municipal Securities Rulemaking Board and each National Repository and State Repository. SECTION 6. Dissemination Agent. The Issuer has engaged the Dissemination Agent to assist it in carrying out its obligations under this Dissemination Agreement and may discharge any such Dissemination Agent, with or without appointing a successor or Dissemination Agent. The Dissemination Agent may terminate its duties hereunder upon fifteen (15) days written notice to the Issuer. For its services hereunder, the Dissemination Agent shall be paid an annual fee of $2,000 plus $250 per Bond Issue for each Bond Issue in excess of an original par value of $1,000,000 as listed in Exhibit A that is required by the Rule to file an Annual Report. In addition, the Issuer shall reimburse the Dissemination Agent for out of pocket expenses incurred in preparing the Annual Report. Such expenses shall not exceed an annual amount of $300.00 unless approved in advance by the Issuer. SECTION 7. Amendment. Waiver. Notwithstanding any other proVISIon of this Dissemination Agreement, the Issuer and the Dissemination Agent may amend this Dissemination Agreement, and any provision of this Dissemination Agreement may be waived, in writing, as agreed to by the parties thereto. SECTION 8. Additional Information. Nothing in this Dissemination Agreement shall be deemed to prevent the Issuer from disseminating any other information, using the means of dissemination set forth in this Dissemination Agreement or any other means of communication. SECTION 9. Duties. Immunities and Liabilities of Trustee and Dissemination Agent. The Dissemination Agent shall have only such duties as are specifically set forth in this Dissemination Agreement, and the Issuer agrees to indemnify and save the Dissemination Agent, its officers, directors, employees and agents, harmless against any loss, expense and liabilities which it may incur arising out of or in the exercise or performance of its powers and duties hereunder, including the costs and expenses (including attorneys' fees) of defending against any claim of liability, but excluding liabilities due to the Dissemination Agent's gross negligence or willful misconduct. This Dissemination Agreement shall inure solely to the benefit of the Issuer and the Dissemination Agent, and shall create no rights in any other person or entity. SECTION 11. Counterparts, This Dissemination Agreement may be executed in several counterparts, each of which shall be an original and all of which shall constitute but one and the same instrument. Dawson, Executive Director October 23, 2003 Award and Assignment of Contracts for East Fire Station On September 30,2003, bids were opened for construction of the East Fire Station for the Excelsior Fire District. Overall, the bids were very favorable; thus, the project will be well within budget. The bid tabulation is included with the memorandum from Kraus-Anderson Construction Company (attached). In three of the 18 bid divisions, the recommendation of award is for the second-lowest bid as the low bids were incomplete. Bids are valid for 45 days. The general construction and equipping budget for the East Station was set at $1,600,000; through further refinement, the estimate of cost at the bid opening totaled $1,568,000. The total of construction bids, estimated construction management costs, and the well (to be constructed by Deephaven), turned out to be $1,455,000 after the bid opening. This figure may be subject to change, but still within the budget: . The construction management costs include an additional $60,000 over the original budget assignment. It was expected that the West and East facilities would be constructed concurrently, with the general contractor/construction management services being concluded in December 2003. The East Station has been delayed, and it will not be possible to complete the project this year. The contract between the EDA and Kraus-Anderson Construction Company engages Kraus-Anderson to complete the work on the two facilities, for a fee of two percent of "the cost of the work" and with compensation for general conditions as they are incurred. At least two months of additional general conditions appears likely. Planning and budget management for the West Station have been based on an assignment of costs with the original schedule. The costs due to the delay may be assigned to the East Station. This matter does not need to be resolved prior to the award and assignment of construction contracts. . A well is needed to serve the site. Several months ago, the EFD Board agreed in principle to a proposal by the City of Deephaven regarding the well. Deephaven would construct a new well and be reimbursed by the EFD for its costs. The well, which would also serve the Deephaven municipal campus, would be operated and maintained by the City, and water provided to the EFD at no charge, for the balance of the 99-year lease for the EFD site. Deephaven had scheduled a bid opening on the well for a day or two after the opening of construction bids. One bid was received: $166,000, compared to a budget estimate of $110,000 (which is included in the $1,455,000 figure). Deephaven believes that, through discussions with the bidder to change the extent ofthe work, the price can be reduced substantially. tt'tA Award/Assignment of Bids, EFD East Station October 27,2003, EDA Meeting Page 2 If the well bid were awarded, the total construction costs would increase to $1,510,000. This figure is $100,000 below initial budget estimates, and there is also a $75,000 contingency within the $2,060,000 total project cost (for which all bonds have been issued). These two matters-assignment of construction management costs and the well-are not germane to the award and assignment of construction contracts. The well needs to be in place before occupancy. The assignment of costs for construction management is a matter for the SLMPD and EFD Boards, and/or the EDA Board. Neither matter affects the contractors who will be engaged for the various bid divisions, and whose work will result in an otherwise completely-constructed, ready-to-occupy facility. It is important to begin construction as quickly as possible, in order to take advantage of the remaining non-winter construction conditions, and to minimize the additional time that the services of Kraus-Anderson will need to be engaged. Other Contingencies: 1) The EFD Board has stated that it wants to build a facility that the City of Deephaven is satisfied that its architectural appearance and site plan is compatible with the Deephaven municipal campus. The Deephaven City Council gave preliminary approval after a presentation by the EFD Chief in May. It gave its final concurrence on October 20. 2) The EDA general counsel advises that the building permit should be issued and in hand prior to notification of the official award and assignment of contracts. It is expected that the City of Deephaven will have issued the permit by the October 26 EDA meeting, or shortly thereafter. EFD Board Action: The Board of the Excelsior Fire District met on October 8 and October 21, 2003. It recommended the award and assignment of contracts for the 18 bid divisions totaling $1,118,725, and an overall construction and equipping budget of$I,373,526. The latter part of this motion has the effect of assigning $76,700 in additional (and unbudgeted) general construction costs to the EFD West/SLMPD Station project. The EDA Board need act only on the first part of the recommendation-to award and assign the contracts to Kraus-Anderson Construction Company. EDA ACTION: Staff recommends that the EDA adopt the proposed resolution to award and assign construction contracts for the construction of the EFD East Station per the recommendation of Kraus-Anderson Construction Company, effective upon the issuance of the building permit for the East Station. SHOREWOOD ECONOMIC DEVELOPMENT AUTHORITY Hennepin County, Minnesota RESOLUTION NO. 03 - A RESOLUTION AWARDING AND AUTHORIZING ASSIGNMENT OF CONTRACTS FOR BID DIVISIONS NOS. 1 THROUGH 18, BID PACKAGE NO.1 FOR THE SOUTH LAKE MINNETONKA PUBLIC SAFETY FACILITIES PROJECT EFD EAST STATION WHEREAS, the Shorewood Economic Development Authority (EDA), with agreement and by several contracts with the cities of Deep haven, Excelsior, Greenwood, Shorewood, and Tonka Bay, and with the Excelsior Fire District, has undertaken construction of the EFD East Station at 20225 Cottagewood Road, Deephaven; and WHEREAS, with the concurrence of these parties, the Shorewood EDA has engaged the services of Kraus-Anderson Construction Company for the construction of this facility; and WHEREAS, the EDA placed an advertisement for bids in accordance with State law for work in the eighteen bid divisions within Bid Package No.1, and opened these bids on September 30, 2003; and WHEREAS, these bids have been reviewed for accuracy and completeness by Kraus-Anderson Construction Company, and it has recommended award of contracts for Bid Division Nos. 1 through 18 in Bid Package No.1; and WHEREAS, the governing board of the EFD considered this recommendation at meetings it held on October 8 and 21,2003, and subsequently made a contingent recommendation that these contracts be awarded, NOW, BE IT RESOL YED, by the Board of the Shorewood Economic Development Authority, that 1) The contracts for Bid Divisions No. 1- 18 in Bid Package No.1, be awarded to the firms listed in Exhibit A, per their respective bids opened September 30, 2003, upon the issuance of a building permit for the EFD East Station. 2) The EDA hereby authorizes assignment of these Contracts to Kraus-Anderson Construction Company.
